Legal Secretary

Job Description:
Assists the Legal Corporate Secretariat Head in performing best practices for corporate secretarial services and corporate housekeeping of the company and its subsidiaries and affiliates.
Job Responsibilities:
- Creation and organization of calendar invitations for board meetings to the board of directors, guests, resource speakers, and presenters;
- Compilation and dissemination of the agenda, minutes, and presentation materials to be used during board meetings;
- Assistance in the technical presentations during board meetings using Zoom Videoconferencing, Google Meet, and Convene, whichever is applicable;
- Drafting of minutes of board meetings;
- Drafting of simple corporate documents like secretary's certificates, board resolutions, subscription contracts, undertakings, affidavits, and certifications;
- Assistance in corporate regulatory compliance works before the Securities and Exchange Commission such as amendments of articles of incorporations and by-laws as well as incorporation of new corporations;
- Docketing and housekeeping of corporate records, documents, and accounts;
- Full organization and primary lead of annual and special stockholders meeting as well as special corporate work such as but not limited to issuance of new preferred shares, bonds, and equities including organization of real estate investment trust; and
- Support and assistance to corporate finance department, compliance team, investor relations team, external auditors, and other key officers on regulatory compliance works before various government offices such as but not limited to the Philippine Stock Exchange, Anti-Money Laundering Council, and Board of Investments.
