Job Summary

The Legal Corporate Secretary is responsible for ensuring the company complies with all legal, regulatory, and corporate governance requirements. This role acts as a key liaison between the board of directors, executive management, and shareholders, ensuring the effective administration of the company.


Key Responsibilities:
  • Corporate Governance: Organize and manage board meetings, committee meetings, and annual general meetings (AGMs). Draft and distribute agendas, minutes, board resolutions, and meeting documentation. Maintain a thorough knowledge of legal and governance frameworks, ensuring the company complies with statutory obligations and corporate policies.

  • Legal Compliance: Ensure timely filing of statutory returns and documents with regulatory authorities (e.g., SEC, Companies Registrar). Monitor changes in relevant legislation and regulations and ensure the board and management are informed.

  • Board Support: Serve as the point of contact between the board and management. Advise directors on their duties and responsibilities under the law and company bylaws. Maintain and update director and officer records, disclosures, and related filings.

  • Recordkeeping and Documentation: Maintain accurate and secure corporate records, including minutes, bylaws, articles of incorporation, and share registers.

  • Stakeholder Relations: Facilitate shareholder communications and manage regulatory disclosures and filings. Coordinate the distribution of annual reports and shareholder notices.


Qualifications:
  • Bachelor's degree in Law, Business Administration, or related field (LLB or JD preferred).
  • Certification as a Corporate Secretary or Chartered Secretary is a plus (e.g., ICSA, CS).
  • Minimum of 4 years' experience in a corporate legal or governance role.
  • Strong knowledge of corporate law, compliance, and governance principles.
  • Excellent communication, organizational, and drafting/writing skills.
  • High level of integrity, confidentiality, and attention to detail.
