Work Setup: Full-time, onsite — based in Bonifacio Global City (BGC), Taguig City
Responsibilities:
Lead the end-to-end legal process of incorporating new entities in the Philippines, including preparation and submission of documents to:
Securities and Exchange Commission (SEC)
Bureau of Internal Revenue (BIR)
Social Security System (SSS), PhilHealth, and Pag-IBIG
Local Government Units (LGU) for barangay clearance, mayor's permit, business permit, etc.
Draft and review legal documents, such as Articles of Incorporation, By-laws, Secretary's Certificates, board resolutions, contracts, and service agreements.
Coordinate with external regulatory agencies, legal counsels, and government offices to ensure timely and accurate processing of business documents.
Monitor corporate compliance obligations (e.g., General Information Sheet (GIS), Audited Financial Statements filing, BIR renewals, etc.) and manage timely submissions.
Conduct regular compliance checks and internal audits to identify gaps and potential risks in company operations.
Provide legal and regulatory advice to business units and management on corporate, labor, data privacy, and contractual matters.
Maintain and organize corporate records and ensure that company documents are up to date and securely stored.
Requirements:
Bachelor's Degree in Law, Legal Management, Political Science, or a related field. Law degree or bar membership is a plus but not required.
At least 2–5 years of experience in corporate legal, regulatory compliance, or company registration in the Philippines.
Strong working knowledge of:
SEC, BIR, LGU, and DTI processes
Labor and employment laws
Data privacy regulations (e.g., Data Privacy Act of 2012)
Experience handling company start-up compliance processes and documentation is essential.
High level of integrity, discretion, and professionalism.
Excellent written and verbal communication skills in English and Filipino.
Strong attention to detail and the ability to manage multiple projects simultaneously.
