• The Role and Impact: As the Corporate Lawyer based in BGC, you will be a key advisor to the Board and Executive Committee. You will manage all statutory corporate affairs, ensuring the organization maintains the highest standards of legal and regulatory compliance, particularly in high-stakes fields like technology and finance/iGaming.

What You'll Be Doing

• Corporate Secretarial Duties: Serve as the Assistant Corporate Secretary, responsible for the preparation, review, and safekeeping of all corporate records, minutes of Board of Directors and Shareholders meetings, and ensuring compliance with SEC and corporate governance requirements.
• Regulatory Compliance Oversight: Monitor and ensure organizational adherence to all relevant Philippine laws, rules, and regulations, with an emphasis on SEC, AML, data privacy (DPA), and industry-specific regulatory bodies (e.g., PAGCOR, BSP).
• Government Liaison & Representation: Act as a key point of contact and representative for the company in interactions with government agencies (e.g., SEC, BOI, BIR, local LGUs), managing submissions and compliance reporting.
• Contract Management: Draft, review, negotiate, and finalize a wide range of corporate contracts, legal documents, Memoranda of Understanding (MOUs), and service agreements.
• Legal Advisory: Provide timely, actionable legal advice to the Executive Committee and Department Heads on business decisions, risk mitigation, and strategic initiatives.
• Dispute and Litigation Management: Oversee and manage any corporate legal disputes, litigation, or regulatory investigations, coordinating with external counsel when necessary.

What You'll Need to Succeed (The Ideal Corporate Counsel):

• Licensure & Experience: Must be a duly licensed lawyer in the Philippines and possess 5+ years of demonstrable corporate legal experience, preferably involving a publicly listed company or a regulated industry.
• Corporate Governance Expertise: Proven experience performing or assisting with the duties of a Corporate Secretary and deep familiarity with corporate housekeeping and SEC reporting requirements.
• Compliance Background: Strong, demonstrable experience in developing or implementing corporate compliance programs in areas like AML, DPA, and/or government-regulated sectors.
• Government/Regulatory Acumen (Preferred): Prior experience working with or closely engaging Philippine government agencies or regulatory bodies is a significant advantage.
• Mindset: Exceptional organizational skills, meticulous attention to detail, and the ability to maintain the highest level of confidentiality and professional integrity.
• Education: Juris Doctor (J.D.) or Bachelor of Laws (L.L.B.) required.
