Cliniqon is seeking a JD-qualified and Bar Passer Contracting Manager / Lawyer based in the Philippines to join our growing Global Legal & Compliance Team.

This pivotal role will focus on drafting, reviewing, and negotiating commercial contracts, ensuring Cliniqon's best interests are protected while upholding the highest standards of HIPAA compliance, data protection, and information security across the organization.

The successful candidate will act as the primary legal point of contact for internal business teams and external partners, ensuring that all agreements are compliant, enforceable, and aligned with Cliniqon's global legal and operational standards.

Responsibilities

  • Draft, review, and negotiate a wide range of contracts including Service Agreements, NDAs, BAAs, MSAs, SOWs, and vendor/subcontractor agreements in close collaboration with internal teams and clients.
  • Work directly with U.S. legal counsel and senior management on risk assessment, dispute prevention, and contract lifecycle governance.
  • Develop, implement, and enforce Cliniqon's contracting best practices to ensure consistency, compliance, and effective risk mitigation across all entities.
  • Ensure strict compliance with HIPAA, ISO 27001, Information Security, and global data protection laws.
  • Collaborate with Operations, HR, IT, Finance, and other departments to align contractual terms with operational and compliance requirements.
  • Lead internal initiatives to promote awareness of data privacy, confidentiality, and information security.
  • Support ongoing improvements to legal documentation, policies, and training programs.
  • Maintain organized digital records of executed contracts, amendments, and renewals through contract management systems.

Requirements:

  • JD degree (or equivalent law qualification) from an accredited institution
  • Must be a Bar Passer in the Philippines (mandatory requirement)
  • Minimum 2+ years of relevant experience in corporate contracting or commercial law, preferably with U.S.-based clients or within the healthcare outsourcing industry
  • Proven expertise in contract negotiation, drafting, and compliance management
  • Strong understanding of HIPAA, data protection, and information security frameworks
  • Excellent commercial awareness and ability to balance legal risk with business objectives
  • Outstanding English communication skills—both written and verbal
  • Experience working with multinational teams across time zones is a plus
  • Willingness to work night shifts and can start immediately
