Position Overview

We are seeking a JD-qualified, experienced Contracting Manager / Lawyer based in the Philippines to join our Global Legal & Compliance Team.

This role will focus on drafting, reviewing, and negotiating commercial contracts, ensuring Cliniqon's best practices and interests are protected, while maintaining the highest standards of HIPAA compliance, data protection, and information security within the organization.

The ideal candidate will serve as the primary legal point of contact for internal business teams and external partners, ensuring that all agreements are compliant, enforceable, and aligned with Cliniqon's global policies.

Key Responsibilities

  • Draft, review, and negotiate a wide range of contracts, including Service Agreements, NDAs, BAAs, MSAs, SOWs, and vendor/subcontractor agreements. By closely working with internal teams and Clients.
  • Work closely with U.S. legal counsel and senior management on risk assessment, dispute prevention, and contract lifecycle governance.
  • Establish, implement, and enforce Cliniqon's best practices in contracting, ensuring consistency and risk mitigation across all entities.
  • Ensure compliance with HIPAA, ISO 27001, Info Sec and other global data protection laws.
  • Collaborate with internal departments (Operations, HR, IT, Finance, etc.) to ensure contractual terms align with operational capabilities and compliance requirements.
  • Lead internal awareness initiatives on information security, confidentiality, and data privacy practices.
  • Support ongoing efforts to strengthen Cliniqon's internal legal documentation framework, policies, and training programs.
  • Maintain organized records of executed contracts, amendments, and renewals through digital contract management systems.

Qualifications

  • JD degree (or equivalent law qualification) from an accredited institution.
  • Minimum 2+ years of relevant experience in corporate contracting, preferably with exposure to U.S.-based clients or healthcare outsourcing industry.
  • Proven expertise in contract negotiation, legal drafting, and compliance management.
  • Deep understanding of HIPAA, data protection, and information security frameworks.
  • Strong commercial awareness and ability to balance legal risk with business objectives.
  • Exceptional written and verbal communication skills in English.
  • Experience working with multinational teams across time zones is a strong plus.
