Job Title: Paralegal and Compliance Officer
Reports to: General Manager
Overview:
The Paralegal and Compliance Officer ensures the organization's adherence to legal and regulatory standards while managing legal affairs. This role involves drafting and reviewing contracts, overseeing legal correspondence, evaluating cases for legal action, attending hearings, and maintaining compliance with regulatory requirements, particularly those related to the Securities and Exchange Commission (SEC).
Key Responsibilities:
1. Legal Responsibilities
1.1 Contracts
a. Draft initial versions of contracts using existing templates tailored to organizational needs.
b. Edit and finalize contract details to reflect accurate terms and agreements.
c. Coordinate the signing and notarization process with relevant stakeholders.
1.2 Case Review for Filing
a. Evaluate cases related to BP22 (Bouncing Checks Law) for potential legal action.
1.3 Attendance at Legal Hearings
a. Represent the organization in hearings, including:
l Department of Labor and Employment (DOLE)
l Prosecutor's Office
l Other legal forums as required.
b. Present arguments and safeguard organizational interests.
c. Provide detailed updates and progress reports to management on ongoing cases.
1.4 Legal Correspondence
a. Draft, review, and issue clear and accurate legal communication, including letters to clients, partners, and authorities.
b. Ensure all correspondence aligns with legal standards.
c. Maintain a detailed archive of all legal communications and related records.
2. Compliance Responsibilities
2.1 Regulatory Compliance
a. Prepare and submit all mandatory filings to the SEC, including:
l Annual Reports
l General Information Sheets (GIS)
l Amendments and other required documents.
2.2 Compliance Monitoring
a. Stay informed of changes in regulations and requirements.
b. Present monthly updates to management on regulatory changes that impact the organization.
c. Adjust filing processes and documentation to ensure continued compliance.
2.3 Record Maintenance
a. Maintain detailed and organized records of SEC filings and compliance-related activities.
b. Ensure all documentation is up-to-date and readily accessible.
3. Coordination with Legal Counsel
a. Coordinate with external legal counsel on complex cases and legal matters requiring specialized expertise.
Qualifications:
l Bachelor's Degree with a major in Political Science or any related courses
l Can work independently or as part of a team.
l Excellent written and verbal communication
l Exceptional leadership skills
l Knowledge of all applicable laws, rules, and regulations
l High attention to detail
l Strong negotiation skills
l Ability to prepare complex legal documents
l Can work onsite Monday-Friday (Barangay Kapitolyo, Pasig City)
