The
Corporate Governance and Legal Associate Manager
conducts legal research and provides legal advice. The incumbent drafts and reviews the organization's contracts and legal documents to ensure proper administration of the organization's policy on contracts review. He or she will monitor compliance and assist with regulatory requirements to manage the significant risks facing the organization and will further act as
Deputy Data Protection Officer
.

Contract Review

  • Assists in the routine reviews of contracts and provides insights and advice to management by integrating the governance, risk management and internal control aspects of the organization into the review process.
  • Provide guidance on and ensure compliance with policy on Contracts Review by contract owners.
  • Drafts templates to be used by different contract owners of the organization
  • Assists in contract management.

Data Privacy Management

  • Assists in monitoring compliance with policies and protocols to ensure compliance of the organization to Data Privacy laws, rules, and regulations.
  • Assists in the conduct of Privacy Impact Assessment of existing and new data processes of the organization.
  • Attends training and/or monitor publications to be updated on new issuances of National Privacy Commission.
  • Assists the Data Privacy Management Group (DMPG) in its data privacy-related needs.

Compliance

  • Monitors developments and emerging trends and issues in corporate governance (local and international), emphasizing areas directly affecting their roles and responsibilities.
  • Assists in the close-out of certain projects and completion of third-party audits required by donors and other grant-giving institutions.
  • Assists in the organization's compliance with regulatory and NGO requirements.
  • Conducts and delivers internal trainings to employees related to compliance of regulatory and company policies
  • Reviews and/or monitors forms and other documents which may have legal implications to the organization.

Legal Research and Advisory Services

  • Participates in ad hoc committees to help in evaluating a developing situation and provide insights on the implementation of certain initiatives/projects.
  • Conducts research and coordinates findings to legal and governance team.
  • Assists in providing guidance on a broad range of issues arising from day-to-day operational activities, understanding of legal implications of decisions, avoid non-compliance issues, due diligence, legal certainty over their business relationships as well as avoid unnecessary legal risks or disputes as well as structuring legal obligations to be as beneficial as possible.

REQUIREMENTS

  • Graduate of Bachelor of Laws or Juris Doctor
  • Admitted to the Philippine Bar
  • At least 1 year in legal practice (law firm or corporate), or at least 2 years legal experience in development work or NGOs/non-profit operations
  • Experience working in non-profit organization or development agencies is an advantage
  • Willing to work in Makati on a hybrid work setup (M-F 8am-5pm, minimum 3x a week onsite)
