Senior Legal Manager

We are looking for a highly experienced Senior Manager – Legal to lead and oversee the company's legal functions, ensuring compliance, managing risk, and supporting company's growth through strategic legal guidance.

Key Responsibilities

  • Mergers & Acquisitions (M&A):

  • Manage end-to-end legal processes for mergers and acquisitions.

  • Conduct corporate due diligence to identify legal, compliance, and operational risks.

  • Contract Management:

  • Draft, review, and negotiate contracts (supply, joint ventures, leases, services).

  • Collaborate with internal and external stakeholders to ensure clear and enforceable agreements.

  • Corporate Governance:

  • Advise management and the board on governance best practices and compliance with statutory/regulatory requirements.

  • Support implementation of governance frameworks, policies, and board resolutions.

  • Legal Risk Management:

  • Review contractual documents to identify risks and ensure alignment with organizational objectives.

  • Provide strategic recommendations and reports to senior management.
Qualifications
  • Bachelor of Laws (LLB/JD), with Bar membership in the Philippines.
  • At least 10 years of progressive legal experience, with strong exposure to M&A, contract management, and corporate governance.
  • Background in energy, utilities, infrastructure, or related industries is an advantage.
  • Experience with Philippine regulatory bodies (DOE, ERC, DENR) and energy sector compliance requirements preferred.
  • Strong negotiation, stakeholder management, and problem-solving skills.
  • Experience negotiating high-value commercial contracts (PHP 100M+ preferred) and complex joint venture agreements.
  • Excellent communication and leadership abilities.
  • Experience leading legal teams of 3-5 professionals or managing external legal counsel.
  • Experience managing M&A transactions valued at PHP 500M+ or cross-border deals.
