Key Responsibilities:Legal Advisory and Strategy:Provide strategic legal advice to senior management and business units on various legal matters. Develop and implement legal strategies aligned with business objectives. Support negotiations for complex contracts, partnerships, and transactions.

Contract Management:Draft, review, and negotiate high-value and complex agreements, including commercial contracts, NDAs, and licensing agreements. Ensure all contracts are legally sound and aligned with organizational interests. Establish templates and guidelines for standard agreements.

Compliance and Risk Management:Ensure compliance with applicable laws, regulations, and internal policies. Identify potential legal risks and implement strategies to mitigate them. Monitor changes in legislation and advise on their impact on the business.

Dispute Resolution and Litigation:Manage and resolve disputes, including overseeing litigation, arbitration, or mediation processes. Collaborate with external counsel to handle complex cases efficiently. Represent the organization in legal proceedings when necessary.

Team Leadership and Development:Lead and mentor the legal team, ensuring high performance and professional growth. Allocate resources effectively to meet organizational and departmental objectives. Foster a culture of collaboration, ethical practice, and continuous improvement.

Corporate Governance:Ensure compliance with corporate governance requirements and standards. Advise on board matters, shareholder relations, and regulatory filings. Assist with the preparation and review of corporate resolutions and policies.

Mergers, Acquisitions, and Special Projects:Support due diligence, structuring, and execution of mergers, acquisitions, and joint ventures. Provide legal input on special projects and strategic initiatives. Ensure post-transaction integration complies with legal standards.

Qualifications:BPO experience is must. Familiar with PEZA and DOLE regulationsBachelor's degree in Law (LLB or equivalent); Master's degree (LLM) preferred. Admission to the bar or equivalent legal qualification in relevant jurisdiction(s).

Minimum of 8-12 years of experience in legal practice, with at least 3-5 years in a managerial or leadership role. Expertise in corporate law, commercial law, compliance, and risk management. Experience in both in-house legal roles and private practice is advantageous.
