Direct Report: Directly reports and works closely with the President of the Institute of Corporate Directors ("ICD") to execute policies, decisions, and directives of the Board of Trustees.

The ICD Chief Operating Officer ("COO") provides day-to-day supervision, leadership, and direction to the ICD's management team and staff. The COO is also responsible for the implementation of programs, projects, and initiatives of ICD, allocates resources, and ensures the execution of the Mission, Vision, and Strategic Goals as contained and operationalized in the ICD Balance Score Card.

The COO must foster a culture of professionalism, accountability, innovation through Research and Development of courses, and continuous improvement within the organization.

Together with the CFO, the COO: a) ensures the financial sustainability of ICD by overseeing the profit and loss, budgeting, financial management, fundraising, and resources mobilization; b) implements internal controls and risk management practices to safeguard organizational assets; and c) ensures compliance with all legal, regulatory, and reporting requirements applicable to NGOs.

In the absence of the Chairperson or CEO (President) of ICD, the COO represents ICD in external engagements, partnerships, and collaborations with public and private sector stakeholders, regulators, and international partners.

The COO is not expected to be a member of every committee but is expected to:

a) provide the necessary resources to the committees and b) coordinate their activities for a cohesive calendar of programs and activities that is periodically updated and shared with the Board.

Qualifications:

  • Strong leadership and management skills, with at least 5 years of experience in senior leadership role or directorship role (30%)

  • Knowledge and experience in field of corporate governance and directorship (10%)

  • Experience in fundraising and resource development (15%)

  • Excellent communication and interpersonal skills with the ability to engage with diverse stakeholders (10%)

  • An entrepreneurial mindset with the ability to think strategically and implement innovative and effective solutions (10%)

  • Experience working with a board of directors (15%)

  • Bachelor's degree in business, management, finance, or a related field. A Master's degree is preferred

  • Experience working in a non-profit sector is preferred (10%)

  • Member of ICD and/or successfully completed the requirements of the Corporate Governance Orientation Program or the Professional Development Program. If the COO is not a member of ICD, then he/she will be required to attend at the next available CGOP and PDP courses after being hired
