Job Description:

  • Must be a graduate of Juris Doctor and must be a member of the Philippine Bar.
  • Minimum of 2 years of experience practicing corporate law and/or litigation
  • Strong knowledge of securities laws, business law, and corporate governance concepts.
  • Superb communication, negotiation, and drafting abilities with thorough attention to detail.
  • Proven capacity to balance several priorities, adhere to strict deadlines, and produce high-caliber work.
  • A strategic thinker who approaches decision-making and problem-solving pro-actively.
  • A dedication to maintaining honesty and the highest ethical standards in all facets of legal practice.
  • Prior experience working in a law firm or corporate legal department.

Responsibilities:

  • Providing top management and other organizational departments with professional legal counsel and direction on corporate governance issues.
  • Create, examine, and negotiate a variety of contracts, agreements, and legal documents, such as joint ventures, strategic alliances, and mergers and acquisitions.
  • Draft opinions that include a summary of the relevant facts, the issues and legal challenges, a study of the relevant statutes, the body of jurisprudence, and a conclusion or opinion.
  • Act as the company's representative in ongoing and pending litigation.
  • Ensure that all business operations adhere to relevant laws, rules, and corporate policies.
  • Perform legal analysis and research to assist in decision-making and address intricate legal problems.
  • Oversee business transactions from start to finish, including closing procedures, documentation, and due diligence.
  • Collaborate with external legal counsel and other advisors as necessary to address specialized legal matters and ensure optimal outcomes for the organization.
  • Stay informed about developments in corporate law and industry trends, and provide proactive advice and recommendations to mitigate legal risks and capitalize on opportunities.
