THE ROLE

We are seeking a dedicated, home-based/remote freelance Senior Legal and Compliance Officer based in the Philippines to support the Legal and Compliance team as well as the COO in London. The role requires a proactive, detail-oriented individual who will work full-time (Monday to Friday, 9:00 AM to 5:30 PM UK time) and become an integral part of the A.C.T leadership team.

KEY OBJECTIVES AND RESPONSIBILITIES

Legal Functions:

• Draft, review, and negotiate a range of contracts, including those in corporate and commercial practice, finance, investments, IP, and litigation, across complex cross-border scenarios.

• Conduct legal analysis, prepare opinions, memoranda, and position papers, and provide advisory services in areas such as corporate restructuring, intellectual property, data privacy and compliance with UK and international laws.

• Research applicable laws and ensure compliance with relevant regulations, including the processing of licenses and permits for UK and offshore entities.

• Represent the company in dealings with external agencies and stakeholders regarding compliance and legal matters.

• Maintain corporate governance, legal due diligence, and related documentation.

Compliance Functions:

• Lead and oversee compliance team.

• Act as a liaison with regulatory authorities, financial institutions, and law enforcement, responding to inquiries and submitting required compliance reports.

• Ensure compliance with UK financial services and data protection legislation, including AML/CFT regulations and financial crime prevention measures.

• Develop, implement and maintain policies, procedures, and internal controls to manage regulatory compliance risks.

• Identify vulnerabilities in compliance processes and implement corrective actions while promoting a culture of risk awareness.

• Conduct regular compliance audits, risk assessments, and training programs for staff on AML/CFT and regulatory matters.

• Manage the Company's Professional Indemnity Insurance (PII) arrangements.

• Prepare and submit regulatory reports, notices, and returns to relevant bodies such as the Financial Conduct Authority (FCA), Prudential Regulation Authority (PRA), and in accordance with standards set by the Institute of Chartered Accountants in England and Wales (ICAEW) and Association of Chartered Certified Accountants (ACCA).

• Maintain and analyze regulatory risk profiles, ensuring robust controls are in place to prevent financial crimes.

• Design and deliver compliance training programs to internal staff to ensure adherence to UK Anti-Money Laundering (AML) and Countering the Financing of Terrorism (CFT) standards.

KNOWLEDGE, SKILLS & QUALIFICATIONS

• Bachelor's degree in Law with Philippine Bar eligibility;

• Minimum of 5 years of experience as in-house legal counsel or compliance officer, with exposure to corporate law and regulatory compliance.

• Proficiency in UK AML regulations with a strong understanding of financial services compliance and international regulatory frameworks is preferred.

• Experience working with compliance KYC/AML software (FirstAML, LSEG WorldCheck) preferred.

• Excellent verbal and written communication skills in English.

• Advanced proficiency in Microsoft Office Suite, Teams, Adobe, and legal research tools.
