JOB QUALIFICATIONS:

• Graduate of bachelor's degree level in Legal Management.

• With at least 1-2 years' relevant experience.

• Units earned from law school or law graduate is a plus.

• Work experience relating to SEC Compliance, Expat Processing, Labor Relations, Data Privacy Act are preferred.

• Excellent written and verbal communication skill and able to directly converse and advice on operational and management issues at senior levels.

• An ability to work under pressure to meet deadlines and complete work accurately to a high standard.

JOB RESPONSIBILITIES:

Matters involving legal specific Functions
● Conducting Employee Grievance procedure in accordance with the Labor Code of the Philippines;
● Assist the Data Protection Officer in implementing Privacy Impact Assessment and seeing to it that the Privacy Management Program of the Company are complied with;
● Conducting legal review and providing sound legal advice to legal inquiry which may include but are not limited to company compliance requirement, regulatory issues, labor relations, tax and accounting concern and operation matters;
● Processing requirements and coordination with government agencies involving the application and processing of necessary documents of Expats and their lawful work assignment in the Philippines.
● Assisting with patient complaints in the level of involvement of judicial and quasi-judicial bodies;
● Assist in the IPO requirements of the company, i.e. policy drafting, corporate governance documents and the like.
● Assist in drafting and implementing inter corporate policies and guidelines
● Assist in audit and other related matters as Japan audit may require
● Reviewing laws and regulations and implementing necessary amendments to company policies to be abreast with the latest development of the law;
● Other tasks that are deemed necessary involving legal matters

Written and Documentation Function
● Drafting, reviewing, and executing Memorandum of Agreements, Contracts, Corporate Documents, Correspondence and Communication letters that are necessary for the business operations of the Company.
● Drafting of forms and templates that are necessary for the operations of the Company;

Administrative Function
● Oversee the completion of legal and compliance requirement of the company with stakeholders and government agencies such as DOLE, NPC, SEC, DOH, LGU and other agencies as deemed necessary.
● Implement and improve upon administrative processes for more efficient workflow
● As necessary, potential appointment to auxiliary positions of the company.
Clerical Function
● Co-manage company-wide documentations of corporate licenses, documents, and correspondence in strict confidence with the Corporate Secretary.
● Implementing a strict document control system for internal and external documents which includes review,
coordination with internal and external stakeholders, signing, notarization and archive and maintaining an updated monitoring list of physical and digital files of documents.
● Communication with Third Party Company Representative for the successful completion of such document execution in a timely manner;
● Assisting and coordination to internal and external legal affairs and appointments, including submission, logistic and filing of documentations necessary for legal matters which includes but are not limited to government compliance, labor relations, insurance claims, representation and submission to judicial and quasi-judicial bodies;
● Assisting the Corporate Secretary in relation to Corporate Housekeeping such as issuance of Corporate Documents for Annual Stockholders and Monthly Board of Director Meetings and maintenance of the Company's Stock Transfer Book;
● Any other tasks and ad hoc functions that may be deemed necessary by the Company in relation to the official function of the Legal Officer.
