
Head of Legal and Corporate Affairs

Job Overview:
The Director of Legal Services/Head of Legal and Corporate Affairs shall lead and play a pivotal role in leading the team and across other group entities in providing legal assistance on all matters related but not limited to contract review, executive strategy, corporate compliance including project financing document review.
Key Responsibilities:
Strategic Legal Leadership:
- Providing strategic legal advice to senior management, guiding the development of legal strategies, and ensuring alignment with the organization's overall objectives.
Legal Operations Management:
- Overseeing the day-to-day operations of the legal department, including case management, document review, and legal research.
Compliance and Risk Management:
- Legal Framework Development: Lead in departmental efforts to develop internal legal frameworks that guide company policies, especially around project development, construction, and operation of renewable energy assets.
- Compliance: Lead in ensuring the organization complies with all applicable laws and regulations, developing and implementing risk management strategies to mitigate legal risks.
Contract Review and Negotiation:
- Power Purchase Agreements (PPAs): Lead in the crafting and review of PPAs, including Power Supply Agreements (PSAs) & Retail Electricity Supply Contracts (RESCs), ensuring that terms and conditions align with the company's commercial strategy, regulatory requirements, and risk management objectives.
- Power Supply Agreements (PSAs) & Retail Electricity Supply Contracts (RESCs): Lead the team in formulating and developing legally sound PSAs and RESCs, ensuring optimal terms for the company while maintaining compliance with local regulations. Assist in customer switching from enrollment in a distribution utility to a customer under Retail Competition and Open Access (RCOA) or Green Energy Option Program (GEOP).
- Bank Financing Contracts: Lead in contract review for power project financing, assessment of company risk exposure.
Litigation Management:
- Managing litigation matters, including overseeing the preparation of legal documents, representing the organization in court, and negotiating settlements.
Legal Research and Analysis:
- Conducting legal research and analysis to advise on legal issues, develop legal strategies, and support litigation efforts.
Team Leadership and Development:
- Managing and mentoring a team of lawyers and legal professionals, fostering a collaborative and high-performing work environment.
Stakeholder Communication:
- Communicating legal advice and information to internal stakeholders, including senior management, employees, and other relevant parties.
Policy and Procedure Development:
- Developing and implementing legal policies and procedures to ensure consistent application of legal principles throughout the organization.
Key Qualifications:
- Education: Bachelor's degree in Law (LL.B or J.D.). Must be a member of the Bar in the relevant jurisdiction.
- Experience: Extensive experience in legal practice, including experience in a leadership or management role years of experience in renewable energy contracts, regulatory compliance, and corporate legal affairs and/or any related industry.

Pay: Php180, Php230,000.00 per month
