Job Description: Corporate Secretary Trainee / Assistant

Position Summary

The Corporate Secretary Trainee/Assistant will support the Corporate Secretary (or the Legal/Corporate Governance team) in ensuring that the organization complies with regulatory requirements, maintains proper corporate records, and upholds good governance practices. This role provides administrative and legal support, with opportunities to learn and grow into a full Corporate Secretary position.

Key Responsibilities

  • Assist in preparing board and shareholder meeting agendas, notices, and materials.
  • Help record and draft minutes of meetings.
  • Maintain an organized archive of board resolutions, approvals, and meeting documentation.
  • Support the monitoring of statutory and regulatory requirements (e.g., SEC, BIR, DTI, LGU filings in the Philippines).
  • Assist with the preparation and filing of annual reports, beneficial ownership disclosures, and other corporate filings.
  • Track deadlines for government submissions and compliance calendars.
  • Maintain updated corporate books (articles, by-laws, stock and transfer books, general information sheets, etc.).
  • Help draft simple correspondence, resolutions, and compliance certificates.
  • Ensure safekeeping and confidentiality of sensitive documents.
  • Coordinate schedules for meetings and events involving the board or committees.
  • Liaise with external regulators, legal counsel, and auditors as instructed.
  • Provide clerical support (filing, data entry, document management).
  • Participate in training to understand corporate law, compliance, and governance best practices.
  • Shadow the Corporate Secretary in meetings and filings to gain practical experience.

Job Requirements

Education

Bachelor's degree in Law, Legal Management, Business Administration, Finance, or related field.

Fresh graduates may apply; coursework in corporate governance, law, or business is an advantage.

Skills & Competencies

  • Strong organizational skills and attention to detail.
  • Proficiency in MS Office / Google Workspace (Word, Excel, PowerPoint).
  • Excellent written and verbal communication skills.
  • Discretion and ability to handle confidential information.
  • Basic knowledge of corporate structures, governance, or legal processes (preferred).
  • Ability to work under deadlines and manage multiple tasks.

Experience

Internship or experience in a legal, corporate, or compliance department is an advantage but not required.

Philippines-specific Add-on

Familiarity with SEC filings (General Information Sheet, Audited Financial Statements, Beneficial Ownership Information), BIR requirements, and LGU permits is a strong advantage.
