The job provides support in addressing the Legal and Corporate Governance requirements of the Company and/or its subsidiary/ies.
- Renders advice on all legal, regulatory and governance matters related to his/her function or as may be required by his or her Line Manager and/or the SVP & Chief Legal and Sustainability Officer
- Drafts and reviews contracts and other legal documentation within the prescribed turnaround time
- Ensures that Board and Board Committee charters, terms of reference, and all governance documents are updated to reflect the requirements of pertinent corporate governance issuances. Ensures that Board and Board Committee practices are in line with such issuances.
- Handles the function-relevant regulatory filings of the Company and its subsidiaries
- Properly monitors and/or implements policies, standards or guidelines owned by the Legal Department (eg. Information Sharing and Securities Dealing, Competition Law)
- Prepares the Annual Corporate Governance Report and such other governance, corporate housekeeping, and related reports required by the relevant government agencies
- Prepares the function-relevant reports required by the regional and group offices and the Company
- Has a general working knowledge and experience with litigation including but not limited to case assessment, strategy, management and tracking, and efficient in coordinating with relevant internal and external stakeholders in ensuring that deadlines are met, and supporting evidence and documents are timely provided to strengthen the Company's position in cases
- Liaises with relevant government offices and other competent authorities as may be required
- Renders corporate secretarial services to the Company and its subsidiaries
- (Prepares the board materials, handles the meetings of the board, board committees and shareholders, drafts the minutes and secretary's certificates, etc.)
- Ensures that all function-related compliance matters are identified and openly and honestly reported to the Line Manager and/or the Compliance Officer in accordance with the reporting requirements operated within the work unit and the Company.
- Ensures adherence with all relevant statutory, compliance, risk management and audit standards and requirements in carrying out his or her functions
- Provides such other legal services as may from time to time by required by his or her Line Manager and/or the SVP & Chief Legal and Sustainability Officer
Qualification:
- Bachelor of Laws or Juris Doctor
- With at least seven (7) years' experience doing legal and corporate governance work.
- knowledge of the laws and regulations pertinent to the life insurance business and/or trust business;
- previously prepared corporate governance manuals and reports;
- previously drafted the ASEAN Corporate Governance Scorecard report; and a good working knowledge of the laws on corporations.
- Good writing and communication skills
- Able to work independently
- Pays keen attention to details
At least seven (7) years relevant work experience, preferably gained from a reputable law firm and/or insurance company.
