This role involves ensuring that the company operates within legal boundaries, minimizing risk, and protecting its legal rights and interests. Depending on the organization's size, the legal counsel may be the sole lawyer or part of a larger legal department led by a General Counsel. Duties and responsibilities

  • Legal advice and strategy: Serve as a trusted advisor to executives and other staff, providing guidance on a variety of legal topics, such as corporate governance, employment law, and commercial transactions.
  • Contract management: Draft, review, and negotiate agreements, including commercial contracts, vendor contracts, and leases, to safeguard the company's legal rights.
  • Risk assessment and mitigation: Research and evaluate legal risk factors affecting business decisions and operations. The counsel then applies risk management techniques to proactively address potential issues.
  • Regulatory compliance: Develop and enforce internal governance policies and procedures to ensure the company follows all relevant local, state, and federal laws and regulations.
  • Litigation and dispute resolution: Manage and oversee legal disputes, including pre-litigation, arbitration, and formal litigation. This often involves coordinating with external law firms.
  • Intellectual property protection: Manage the company's intellectual property, including copyrights, trademarks, and patents.
  • Corporate record-keeping: Maintain corporate records, such as resolutions and minutes of meetings.
  • Mergers and acquisitions (M&A): Provide legal oversight for M&A activities, ensuring all aspects are legally compliant.
  • Liaison with external parties: Communicate and negotiate with external stakeholders, including regulators, outside legal counsel, and public authorities.

Required skills and qualifications

  • Education: A Juris Doctor (J.D.) degree from an accredited law school is required.
  • Licensing: Must hold an active license to practice law in the relevant jurisdiction.
  • Experience: Requires proven legal experience, often gained in a law firm or in-house position, with expertise in corporate and commercial law.
  • Communication skills: Must have outstanding written and verbal communication skills to effectively convey complex legal concepts to non-legal personnel.
  • Legal and strategic judgment: Must possess strong analytical and problem-solving skills with a high degree of professional ethics and integrity.
  • Business acumen: A comprehensive understanding of the business environment and how legal issues influence business strategy is essential.
  • Organizational skills: Excellent time management and organizational skills are necessary for handling a demanding workload and meeting deadlines.
  • Negotiation skills: Strong negotiation abilities are vital for drafting and negotiating contracts and other legal agreements.
