Job Summary

The Paralegal Associate & Corporate Compliance Officer is responsible for ensuring that the company complies with all regulatory requirements, particularly with the Securities and Exchange Commission (SEC) and other government agencies. The role involves preparing, processing, and monitoring corporate documents, legal filings, and compliance obligations while providing legal and administrative support to management.

Key Responsibilities

Corporate Compliance & SEC Processing

  • Prepare, file, and monitor all SEC-related requirements including:

  • General Information Sheet (GIS)

  • Audited Financial Statements (AFS)
  • Articles of Incorporation and By-Laws amendments
  • Increase of Capital, Change of Directors/Officers, Change of Business Address
  • Certificates of Filing, SEC Opinions, and other corporate filings
  • Track deadlines for annual and reportorial requirements to avoid penalties
  • Coordinate with external legal counsel, auditors, and government agencies for submissions
  • Maintain accurate and updated corporate records and compliance calendars

Legal & Paralegal Support

  • Draft board resolutions, secretary's certificates, contracts, and legal correspondence
  • Assist in the preparation and review of agreements, MOUs, and internal policies
  • Organize and manage corporate documents and legal files (physical and digital)
  • Conduct basic legal research when necessary

Government Liaison & Documentation

  • Handle processing with government agencies such as:

  • SEC

  • BIR
  • DTI
  • LGUs
  • Other regulatory bodies
  • Follow up application status and ensure timely completion of permits and registrations

Administrative & Compliance Support

  • Ensure corporate practices align with legal and regulatory standards
  • Support internal audits and compliance checks
  • Assist management with risk and compliance-related documentation

Qualifications

  • Bachelor's Degree in Legal Management, Political Science, Business Administration, or related field
  • Experience in SEC processing and corporate compliance is highly preferred
  • Familiar with corporate governance and legal documentation
  • Strong attention to detail and organizational skills
  • Excellent written and verbal communication skills
  • Ability to handle confidential information professionally

Preferred Skills

  • Knowledge of Philippine corporate laws and regulations
  • Experience dealing with government agencies
  • Time management and deadline-driven
  • Proficient in MS Office / Google Workspace
