Corporate Legal Counsel

Your Mission:

As a Corporate Legal Counsel, your primary mission is to provide strategic legal guidance and ensure compliance across its global operations. The ideal candidate has a strong background in corporate and commercial law, with hands-on experience in contract management, compliance, and corporate governance across multiple jurisdictions.

This role requires a strategic and business-oriented legal professional who stays current with evolving laws and regulations, advises leadership on legal risks and opportunities, and proactively informs the management of any new or changing legal developments. The Counsel will also share expertise with the team and leverage modern legal and productivity tools to enhance efficiency and collaboration.

What You'll Do

Commercial Agreements

• Draft, review, and negotiate a wide range of commercial agreements, including master service agreements, NDAs, licensing contracts, data privacy agreements, and vendor or client contracts.
• Ensure compliance with Singapore law, international regulations, and data protection standards such as GDPR.
• Maintain and optimize contract templates, terms of service, and related documents to streamline operations and reduce legal risk.
• Provide strategic legal advice on complex business transactions and deal structures.
• Oversee cross-border contract execution and compliance in multiple jurisdictions.

Intellectual Property Protection

• Advise on strategies to protect and manage intellectual property (IP) assets, including trademarks, copyrights, patents, and proprietary technologies.
• Ensure proper registration, protection, and enforcement of the company's IP portfolio globally.
• Develop and implement internal IP management and usage policies.

Dispute Resolution

• Manage and resolve commercial and contractual disputes, including vendor issues, breaches, and claims.
• Collaborate with external counsel as needed, providing direction and oversight to ensure favorable resolutions.
• Lead settlement negotiations and pre-litigation strategies to safeguard company interests.

Employment and Contractor Law Support

• Provide legal guidance on employment and engagement matters, including employment contracts, independent contractor agreements, and consultancy contracts.
• Ensure compliance with labor and employment laws across various jurisdictions.
• Advise HR and management on workplace policies, employee relations, terminations, and dispute management.
• Support proper classification of employees and independent contractors to mitigate compliance risks.

Corporate and Regulatory Compliance

• Continuously monitor legal and regulatory changes across all jurisdictions where the company operates.
• Promptly inform and advise the CEO and leadership on new or changing laws, regulations, or policies affecting the company.
• Develop and implement strategic legal plans to adapt to emerging regulations and ensure business continuity.
• Advise on corporate governance, data privacy, and regulatory compliance requirements.
• Support risk assessments, policy development, and regulatory audits.

Team Collaboration and Mentorship

• Share legal expertise and provide guidance and mentorship to other team members, creating a culture of learning and collaboration.
• Promote ethical, transparent, and compliant practices across the organization.
• Contribute to the development of internal legal resources, templates, and best practices.

Technology and Tools

• Utilize Google Workspace, Dropbox, Adobe Sign, and other AI-powered tools to manage documents, automate workflows, and improve efficiency in legal operations.
• Adapt quickly to new tools and technologies as the company evolves its digital ecosystem to enhance productivity and collaboration.

Cross-Functional Collaboration

• Partner with internal teams—Sales, HR, Finance, Product, and Marketing—to proactively identify and mitigate legal risks.
• Deliver clear, practical, and business-focused legal advice to support strategic decision-making and company growth.

What You'll Bring:

• Holds a law degree and is licensed or admitted to practice law in a recognized jurisdiction.
• Proven experience in a corporate or in-house legal role, ideally within a multinational or technology-driven organization.
• Strong knowledge of commercial law, corporate law, employment and contractor regulations, data privacy, and intellectual property law.
• Demonstrated ability to stay up-to-date on legal and regulatory developments and translate them into strategic business actions.
• Excellent contract negotiation, analytical, and problem-solving skills.
• Strong communication and collaboration abilities, with the capacity to explain complex legal issues clearly.
• Proficiency in digital productivity tools such as Google Workspace, Dropbox, Adobe Sign, and AI-driven legal technologies.
• Highly organized and capable of managing multiple priorities in a fast-paced, global environment.
