JOB SUMMARY

Gives legal advice and assistance to management on the corporation's rights, responsibilities, and obligations in business transactions and various legal topics; provides counsel to the company officers and its employees on corporate and labor matters; serves as Assistant Corporate Secretary.

DUTIES AND RESPONSIBILITIES

a. Legal Matters

  • Represents the company in meetings, negotiations, legal disputes, court hearings, and other legal matters.
  • Drafts, reviews, and solidifies contracts, agreements, position papers, and other legal documents to ensure the company's full legal rights.
  • Collaborates with various departments and company officials to certify the overall correctness of various deeds issued by third party partners to company land assets and to further certify that each conforms with the Joint Development Agreement.
  • Safekeeps and maintains temporarily copies of titles subject to litigation, deeds of partition, legal documents and other court
  • Gives legal counsel, assistance, and advice on corporate affairs.
  • Coordinates with the company's external counsel with regards current landholding cases and other corporate legal matters.
  • Represents the company in meetings with government agencies, as required.
  • Provides clarifications on legal terms to everyone in the organization.
  • Attends to personal legal concerns of employees.
  • Notarizes legal documents of the company.
  • Performs other related works as may be required.

b. Assistant Corporate Secretary Duties

  • Provides support and advice to the Corporate Secretary in carrying out the duties of the position.
  • Assists the Corporate Secretary in the preparation of the Minutes of the Regular Board Meetings.
  • Assists the Corporate Secretary in the preparation of legal documents needed in the transfer of shares of stock.
  • Gives legal opinion to the Corporate Secretary on the contents of certifications and other documents being issued.
  • Performs all other duties relating to these activities as requested by the Corporate Secretary.

c. Regulatory Compliance

  • Coordinates with concerned departments on matters pertaining to regulatory permits and other requirements.
  • Ensures legal compliance with laws and regulations affecting the business/company.
  • Keeps abreast of legislative changes and new regulations that may impact the activities or operations of the Company

d. Human Resource Management

  • Manages, leads and directs the work of personnel in the legal department.
  • Implements the Human Resource policies and procedures of the company.
  • In-charge with onboarding, mentoring, training, development and discipline of staff.
  • Appraises performance of subordinates against agreed performance and behavior and initiates developmental plans and programs for correcting deficiencies and developing talents.

e. Management Responsibility

  • Participates and contributes to the development of corporate and department goals, objectives, action plans and programs.
  • Acts as a role model of an ethical and professional manager committed to the corporate vision and to lead the department to the attainment of its goals.
  • Attends management meetings and submits reports on legal activities and other concerns to the Management Committee on a regular basis.
  • Participates in the promotion and enforcement of safety rules, regulations, programs, and activities.
