Legal Counsel

Copenhagen Infrastructure Service Company (CISC) – a company working exclusively for the global fund management company Copenhagen Infrastructure Partners (CIP), is currently looking for a Legal Counsel to join the team in Metro Manila, Philippines. The roleCISC will take on "owner's responsibility" for supporting originating, as well as developing and executing renewable energy projects in the Philippines. A team of talented commercial, legal and project management professionals will be required to support this.

The Legal Counsel will be an important member of the development team. On offshore wind projects, CIP and CISC collaborate closely with Copenhagen Offshore Partners (COP), which works exclusively with CIP on offshore wind origination, development and construction. The Legal Counsel will also provide legal support to COP on CIP's offshore wind projects in the Philippines.

The legal counsel will become an integral part of a growing Philippine business development team. We will seek to constantly support and inspire you, while focusing on your learning and personal development. Responsibilities will consist of:Corporate: manage company secretarial work, corporate documentation, and shareholder reporting;Compliance: Ensure compliance with statutory regulations, regular reports, filings and other formalities; implement CIP policies on project level; conduct internal trainings; manage grievance process; support HSE and labour law compliance; monitor overall ESG performance;Project Development: support project development work from legal and contractual perspective and provide advice on development, permitting and consenting strategy for projects;Transaction support: Support legal due diligence process, M&A transaction and funding structuring;Partnership contracts: support project team in partnership discussions; draft, review and negotiate transaction documents including term sheets, SHA, SPA, DSA, JDA etc. with partners;Project contracts: draft, review, negotiate and manage relevant project contracts, including OMA, service agreements, etc.

;Procurement: Work with project team on procurement of suppliers, including draft and review supplier contracts, including EPC, TSA, etc. and identify local law issues, and negotiation with suppliers;Regulatory: Support consent, permit works, including survey license, PPA template and negotiation, land use rights, etc. ;Project Finance: support project finance transactions from legal, structuring and contractual perspectives, including bank term sheets, finance documents, security package, etc. ;Dispute: manage disputes (if any) and coordinate with external counsels on disputed matters;Others: manage local external counsels and corporate secretariat firms; coordinate with international external counsels and CISC/CIP regional or HQ legal and compliance team.

The ideal candidate will have:Expertise in corporate, regulatory and compliance matters is crucial to this role; experience in renewable energy and infrastructure-related M&A transactions, project financing, and project development are highly preferable. Strong analytical, technical legal and drafting skills (contractual drafting, internal memos, presentations); strong commercial mindset; good sense of ownership and accountability; capability to navigate through legal uncertainties and providing pragmatic business-oriented advice.

Strong inter-personal skills; exceptional written and verbal communication skills in English and Filipino; capable of teamwork and building trust.
