We are looking for a skilled and proactive Legal Counsel to support our project development and operations across the Philippines. This is a critical role in the company's growing business, offering a chance to work on high-impact projects that are shaping the future of energy.

The Opportunity:

As a Legal Counsel, you will be the legal cornerstone for our renewable energy projects, from initial concept to full-scale operation. Your work will primarily involve the development, construction, and management of utility-scale solar and wind farms, as well as distributed rooftop solar systems for major corporate clients.

Key Responsibilities:

  • Contract Drafting & Negotiation
    : Lead the drafting and negotiation of a wide range of project-related agreements, including Power Purchase Agreements (PPAs), Engineering, Procurement, and Construction (EPC) contracts, and Operations & Maintenance (O&M) agreements. You will also handle corporate and financial documents, such as Shareholders' Agreements, Share Purchase Agreements, and financing agreements.
  • Mergers & Acquisitions (M&A)
    : Provide expert legal advice and support on M&A projects and wider financing activities, helping to identify and execute new business opportunities.
  • Project & Legal Management
    : Collaborate with business development teams to transform new ventures into operational projects. Manage legal operations, anticipate risks, and provide strategic advice to mitigate them.
  • Compliance & Governance
    : Ensure all business activities comply with relevant laws, regulations, and internal corporate policies, including those related to Anti-Bribery and Corruption (ABC) and sustainability. You will also oversee corporate housekeeping for subsidiaries and joint ventures within the region.
  • Strategic Legal Partner
    : Act as a trusted legal advisor, providing timely, commercial, and risk-aware counsel to help the business achieve its growth objectives.

Qualifications & Experience:

  • A minimum of 7 years of experience as a lawyer in a common law or civil jurisdiction.
  • Proven experience in the
    energy sector
    , with a strong background in
    project development, M&A, and corporate law.
    Experience in a law firm is a plus.
  • Demonstrated expertise in the legal landscape of the Philippines.
  • Exceptional drafting and negotiation skills in English, with a sharp attention to detail.
  • Highly organized, autonomous, and capable of managing multiple complex projects under tight deadlines.
  • Strong interpersonal skills and the ability to work effectively in a diverse, multicultural environment.
