Position Overview

The Corporate Lawyer will be responsible for managing corporate housekeeping, ensuring regulatory compliance, and addressing labor and employment matters for [Company Name]. This role plays a vital part in safeguarding the company's legal interests and ensuring full compliance with applicable laws and regulations. The Corporate Lawyer will collaborate closely with management and various departments to provide sound legal advice, mitigate risks, and support strategic business objectives.

Key Responsibilities

1. Corporate Housekeeping

  • Maintain accurate and up-to-date corporate records, filings, and documentation in compliance with legal requirements.
  • Prepare and review corporate resolutions, minutes of meetings, and other governance documents.

2. Business Compliance

  • Develop, implement, and monitor compliance programs to ensure adherence to local, national, and international laws.
  • Track legislative and regulatory changes and advise management on policy or procedural adjustments as necessary.

3. Labor and Employment Law

  • Provide legal guidance on labor and employment issues, including employee contracts, disciplinary actions, terminations, and workplace disputes.
  • Partner with the HR department to ensure compliance with labor regulations and promote fair, inclusive, and legally sound workplace policies.

4. Contract Management

  • Draft, review, and negotiate contracts, including vendor agreements, partnership deals, and service-level agreements.
  • Ensure all contracts align with company goals, protect company interests, and minimize potential legal exposure.

5. Legal Advisory

  • Advise management and staff on legal matters such as corporate governance, mergers and acquisitions, intellectual property, and regulatory compliance.
  • Conduct thorough legal research and stay updated on relevant laws, industry practices, and emerging legal trends.

6. Risk Management

  • Identify potential legal risks and develop proactive mitigation strategies.
  • Manage and coordinate legal disputes and litigation in collaboration with external counsel when necessary.

Qualifications

  • Juris Doctor (JD) degree from an accredited law school; must be admitted to the bar in a relevant jurisdiction.
  • Proven experience as a corporate lawyer, preferably within a corporate or financial services setting.
  • Strong knowledge of corporate law, business compliance, and labor and employment regulations.
  • Exceptional analytical, negotiation, and communication skills.
  • Ability to work independently and collaboratively in a fast-paced and dynamic environment.
