We are looking for a talented corporate lawyer to support our company's operations, including support of all legal transactions, partnerships and projects of our company. Your main task will be to ensure that all of the company's activities and transactions comply with legal requirements and to actively assist the company in identifying and preventing potential legal risks and violations.

In addition, your duties will include representing and defending the company's interests before any governmental authorities, advising and supervising all corporate legal processes, and supporting litigation. The successful candidate will have outstanding negotiation skills and a valuable corporate practice, as well as attention to detail.

Key Responsibilities constitute, but are not limited to:

  • Represent the Company with the SEC, NLRC, LUG, BIR , Government Agencies as well as with Local Government Officials such as the Mayor or Governor, Court of Appeals, and the Supreme Court and in all other authorities,  ensuring that the interest of the Company is well protected at all times;
  • Responsible for the management of all legal cases of all Companies within the Group pertaining to corporate, labor, tax/tariff, insurance, and rehabilitation matters;
  • Complete support of corporate work (company registration, purchase and sale of shares, reorganization and liquidation of companies);
  • Preparation of responses to inquiries from various governmental and regulatory authorities;
  • Support of shareholder meetings;
  • Support of personnel employment (including migration legislation);
  • Opening bank accounts for new companies;
  • Obtaining necessary business licenses (permits);
  • Preparation of various forms of documents;
  • Drafting, analyzing and negotiating various documents, such as contracts, additional agreements;
  • Advising management (both orally and in writing) on all legal issues, problems and cases;
  • Advising operations and collection departments on proper communication with customers (scripts, templates, terms and conditions etc) to ensure fair collection and fair lending practices are in place and in full compliance with regulation.

Key Requirements:

  • Minimum 3 -5 years of post-qualification experience in general corporate law, contracts, labor laws and regulatory compliance (e.g. SEC, NPC,  AMLA, BIR, LGU);
  • Experience in Fintech, Financial or Lending companies would be a major advantage;
  • Familiarity with, and a working knowledge of, key government organizations such as SEC, NPC, BIR, and LGUs will be essential;
  • Experience with the role of company secretary or secretary to a board or other governance bodies will be valuable, but not essential;
  • Knowledgeable in Labor Code and Corporate Laws;
  • Must have established good contacts with Government Agencies and Local Government Units.;
  • Experience in drafting, negotiating, and reviewing legal documents;\
  • Analytical thinker with strong conceptual and research skills;
  • Natural leader who displays sound judgment and attention to detail;
  • Ability to multi-task and meet deadlines. Responsible approach to solving the tasks set by your manager;
  • Ability to work as part of a team. Ability to establish and maintain strong relationships within the organization's legal department and across all businesses;
  • Excellent interpersonal, communication, and public speaking skills;
  • Fluency in English with outstanding writing and communication skills.
