We seek a corporate lawyer specializing in government compliance and corporate governance, including resolving shareholder disputes, structuring equity arrangements, and ensuring adherence to SEC regulations. The role combines transactional support for government applications (BSP, BIR, DOLE) with managing internal corporate matters like share transfers, bylaws, and stakeholder conflicts.

Key Responsibilities

  1. Government Agency Liaison & Compliance

  2. Prepare, submit, and monitor applications for licenses, permits, and certifications (e.g., BIR POS certifications, DOLE AEP, BSP OPS registrations).

  3. Ensure compliance with SEC, BIR, DOLE, and other agency requirements.

  4. Corporate Governance & Shareholder Matters

  5. Draft and review shareholder agreements, stock option plans, and Articles of Incorporation amendments.

  6. Resolve disputes related to share ownership, dividends, or voting rights.
  7. Advise on share transfers, capitalization changes, and compliance with SEC reportorial requirements.

  8. Manage corporate secretarial tasks, including board resolutions and annual stockholders' meetings.

  9. Legal Documentation & Regulatory Compliance

  10. Draft contracts, MOUs, and compliance reports for government submissions (BIR, SEC, DOLE).

  11. Maintain corporate records (e.g., stock ledgers, bylaws, SEC filings).

  12. Visa & Immigration Support

  13. Process DOLE AEP applications and coordinate with immigration authorities for visa extensions.

  14. Risk Management & Problem Resolution

  15. Address legal risks in corporate operations (e.g., shareholder conflicts, regulatory non-compliance).

  16. Represent the company in negotiations or mediations involving corporate disputes.
  17. Advise on mergers, acquisitions, or corporate restructuring.

Requirements

  • Juris Doctor (J.D.) or Bachelor of Laws (LL.B.); licensed Philippine Bar member.
  • At least 2–3 years of experience in corporate law, including shareholder management and SEC compliance.
  • Expertise in the Revised Corporation Code, Tax Reform Act, and Labor Code.
  • Proven track record in resolving corporate disputes and drafting governance documents.

Preferred Qualifications

  • Experience with mergers & acquisitions or joint venture structuring.
  • Familiarity with data privacy laws (DPA) and anti-money laundering (AML) regulations.
  • Strong negotiation skills for government agencies and internal stakeholders.

Job Type: Full-time

Pay: Php120, Php150,000.00 per month
