Corporate Lawyer

We are seeking a proactive and experienced Corporate Lawyer to join our dynamic consulting firm. The successful candidate will provide legal expertise across a range of client-focused corporate matters, including business registrations, regulatory compliance, contract review, and corporate restructuring. You will play a key role in advising both the firm and its clients on corporate governance, risk management, and legal strategies to support sustainable business growth.

Key Responsibilities:

Client-Focused Legal Advisory

• Provide sound legal advice to clients on corporate matters such as incorporation, licensing, capital structuring, mergers, and dissolutions.
• Assist clients in interpreting and complying with Philippine corporate, tax, labor, and regulatory laws.
• Support clients in legal due diligence, risk assessments, and compliance audits.

Regulatory Compliance

• Handle end-to-end corporate registrations, amendments, and filings with SEC, BIR, DTI, LGUs, and other agencies.
• Prepare and file General Information Sheets (GIS), Audited Financial Statements (AFS), and other reportorial requirements.
• Ensure clients remain compliant with relevant laws, regulations, and filing deadlines.

Contract Review & Documentation

• Draft, review, and negotiate legal documents, including service agreements, shareholder agreements, consultancy contracts, NDAs, and MOUs.
• Customize legal templates and policies for clients based on industry-specific requirements.

Corporate Governance & Internal Support

• Provide legal guidance to internal departments (e.g., sales, finance, operations) on client matters and corporate risk.
• Maintain corporate records, board resolutions, and legal documentation for both the firm and its clients.
• Assist in internal policy development and legal risk mitigation strategies.

Liaison & Representation

• Coordinate with external counsel or represent clients before regulatory bodies when necessary.
• Serve as point of contact for government agency communications, legal inquiries, or compliance notices.

Qualifications:

• Bachelor of Laws (LL.B.) or Juris Doctor (J.D.) from an accredited law school.
• Must be a licensed member of the Philippine Bar.
• Minimum 3 years of experience in corporate law, with at least 1–2 years in a consulting, advisory, or professional services environment.
• Solid understanding of the Corporation Code of the Philippines, SEC and BIR procedures, and relevant regulatory frameworks.
• Strong drafting and negotiation skills.
• Excellent communication and interpersonal skills, especially in client-facing settings.
• High attention to detail, discretion, and ability to manage multiple client accounts simultaneously.

Preferred Qualifications:

• Experience in handling multiple corporate accounts or working with SMEs/startups.
• Familiarity with tax compliance, employment law, and contract law in a consulting setting.
• Experience advising on mergers, acquisitions, or business restructuring.
• Strong organizational and project management skills.
