Role Overview:

Serves as the primary legal partner of the business, providing advice and support on corporate, commercial, and regulatory matters. Handles contract drafting/review, M&A, entity setup in the Philippines and Southeast Asia, and supervises corporate secretarial functions.

Qualifications:

  • Licensed to practice law in the Philippines, with at least five (5) years PQE from a reputable law firm and/or as in-house counsel.
  • Strong background in corporate and commercial law, M&A, foreign investments, legal due diligence, contract drafting/review, corporate housekeeping, compliance, and franchising.
  • Excellent English communication skills; advanced skills in contract drafting, compliance, and data privacy preferred.

Key Responsibilities:

  • Business Setup: Manage registration, permits, and compliance with incorporation and foreign investment laws.
  • Corporate Housekeeping: Oversee SEC filings, secretarial documentation, shareholding records, and supervise paralegals.
  • Corporate & Commercial Transactions: Draft/review contracts, support M&A and financing activities, conduct due diligence, and liaise with external counsel.
  • Compliance: Implement and monitor compliance policies, data privacy, and regulatory requirements; coordinate with regulators and conduct reviews/training.
  • Miscellaneous: Conduct legal research and perform other tasks assigned by the Group Chief Legal & Risk Officer.
