Job Title:

In-House Legal Counsel

About the Role

We are seeking a highly skilled In-House Legal Counsel to join our team. The successful candidate will be responsible for providing legal support services to our entire network of companies.

Key Responsibilities
  1. Attend to corporate legal matters and special projects, including drafting or reviewing Secretary's Certificate, Notice of Meetings, Trustee's Certificate, Board Resolution, and filing SEC reportorial requirements.
  2. Maintain and update Corporate Records, including Articles of Incorporation, By-Laws, SEC Certificate of Incorporation, Business Permit, BIR Registration, Corporate Seal, SEC Notices, and BIR Notices.
  3. Process and document Legal Requests and Document Requests based on LRF Process; monitor the flow of the contract review and approval process.
  4. Negotiate contracts and agreements with counterparties and secure approval from approving authorities.
  5. Custody and recording of all contracts, updating Contract Templates, compliance with regulatory matters, and ensuring transactions comply with government agency requirements.
Requirements
  • Entry-level professional in law, preferably with experience in corporate law.
  • Strong understanding of laws and regulations related to corporations, tax, and litigation.
  • Excellent communication and negotiation skills.
  • Ability to work independently and as part of a team.
