Position Overview
We are seeking an experienced and highly skilled Corporate Lawyer to join our organization. The role is responsible for providing expert legal advisory services, ensuring compliance with regulatory requirements, managing corporate governance functions, and supporting HR-related legal matters.
The ideal candidate will have extensive experience in corporate law—particularly in real estate development, labor law, and contracts—with proven expertise as a Corporate Secretary or Assistant Corporate Secretary.
Key Responsibilities
Legal Advisory & Compliance
- Provide expert legal advice and guidance to management and business units on corporate, commercial, and labor law matters.
- Draft, review, and negotiate contracts, agreements, and other legal documents to safeguard the company's interests.
- Ensure the company's operations comply with all applicable laws, regulations, and industry standards.
- Monitor new laws, rules, and regulations affecting the company and provide timely recommendations for compliance.
Corporate Governance (Assistant Corporate Secretary Duties)
- Assist the Corporate Secretary in organizing, preparing, and recording Board and Shareholder meetings, including drafting minutes and resolutions.
- Maintain and update corporate records, board charters, and other governance-related documentation.
- Ensure compliance with corporate governance best practices, SEC regulations, and company by-laws.
- Coordinate with regulatory bodies and external counsel as necessary.
HR Legal Support
- Advise HR on labor laws, employee relations, and dispute management.
- Draft and review employment contracts, policies, and disciplinary procedures.
- Represent the company in labor-related disputes, mediation, or litigation as necessary.
- Provide training and guidance to HR and management teams on labor law compliance.
Risk Management & Stakeholder Support
- Identify potential legal risks and develop strategies to mitigate them.
- Support business units in negotiations, partnerships, and joint ventures.
- Handle disputes, litigation, and arbitration processes in coordination with external counsel.
- Serve as a trusted advisor to senior management and stakeholders in strategic decision-making.
Requirements
- Juris Doctor degree and membership in the Philippine Bar.
- Minimum of 10 years' experience in corporate law, preferably with exposure to real estate development and labor law.
- Proven experience as a Corporate Secretary or Assistant Corporate Secretary is highly advantageous.
- Strong background in contracts management, corporate governance, and HR-related legal matters.
- Excellent analytical, problem-solving, and negotiation skills.
- Strong interpersonal and communication abilities, capable of working effectively across departments and with external stakeholders.
- High level of integrity, professionalism, and discretion.
Preferred Qualifications
- Experience working in a corporate legal department within the real estate, construction, or related industries.
- Familiarity with regulatory processes involving the SEC, PEZA, LGUs, and other relevant agencies.
- Exposure to litigation or arbitration, particularly in commercial or labor disputes.
