We are seeking a
Land Legal Counsel
for the
MTerra Solar Project
. The role is responsible for providing legal support on land-related transactions, ensuring compliance with property, environmental, and regulatory laws. Key responsibilities include conducting land due diligence, drafting and reviewing contracts, advising management on legal risks, and coordinating with government agencies and counterparties to secure project landholdings.

Key Responsibilities:

  • Conduct initial legal due diligence on land, including verification of ownership, title authenticity, annotations, encumbrances, liens, and adverse claims.
  • Review and validate Transfer Certificates of Title (TCTs), Tax Declarations, and supporting documents (e.g., SPAs, Deeds, Relocation Surveys, Reclassification and Conversion Orders).
  • Identify potential legal defects or risks in land acquisition documents and recommend mitigation measures.
  • Draft, review, and negotiate land-related agreements, such as Deeds of Absolute Sale, Contracts to Sell, Lease Agreements, Right-of-Way Agreements, Joint Venture Agreements, and Memoranda of Understanding.
  • Prepare legal opinions, memoranda, and due diligence reports summarizing findings, risks, and recommendations for management.
  • Advise on compliance with CARP, zoning, reclassification, and conversion regulations, including coordination with DAR, DENR, LGUs, and other agencies.
  • Support land acquisition and disposition processes, ensuring alignment with corporate policies and applicable laws.
  • Participate in cross-functional reviews with Business Development, Land Management, and Project Execution teams on land-related transactions.
  • Monitor developments in land, agrarian reform, and property laws and advise management of their implications on ongoing projects.
  • Represent the company in negotiations, hearings, and discussions with landowners, counterparties, and government agencies when necessary.

Job Requirements:

  • Bachelor of Laws / Juris Doctor and member in good standing of the Philippine Bar.
  • Minimum of 3–5 years of relevant experience in legal land due diligence, real estate, land law, or property development.
  • Strong background in land title verification, property registration, and land acquisition processes.
  • Excellent drafting, analytical, and negotiation skills.
  • Preferably with experience in renewable energy, infrastructure, or large-scale land aggregation projects.
  • Willing to accept project-based employment status
