What You'll Do
As Country Legal Counsel, you will be entrusted with safeguarding the organisation's interests across a diverse portfolio of renewable energy initiatives. Your daily responsibilities will involve close collaboration with project teams to address complex legal challenges associated with new developments as well as ongoing operations. You will play an essential role in shaping internal policies around ethics and compliance while ensuring that all documentation meets rigorous regulatory requirements. By managing both internal approvals and external partnerships effectively, you will help drive successful project outcomes. Your ability to communicate clearly across functions will be key as you provide training, share knowledge within the legal team, and coordinate with external counsel. This position offers you the platform to make a tangible impact on both business performance and environmental sustainability through your expert guidance.

  • Advise on ethics and compliance matters by drafting, localising, and implementing policies tailored for local application while ensuring alignment with global frameworks.
  • Conduct detailed legal research to support renewable energy operations, guide strategic decision-making, and address emerging regulatory or contractual issues.
  • Coordinate with internal teams and external service providers to ensure compliance with ethics policies and procedures, including the conduct of ethics checks and related reviews.
  • Deliver accurate and timely legal reporting while facilitating knowledge sharing across the legal function to promote consistency and awareness.
  • Draft legal memoranda, participate in project review meetings, and support internal approval processes to ensure adherence to corporate policies and mandates.
  • Guide project teams on ethics and compliance processes, providing clear advice on best practices to cultivate an ethical business culture.
  • Manage corporate housekeeping requirements and company secretarial matters, ensuring compliance with local laws and maintaining high standards of governance.
  • Manage external counsel relationships for renewable energy projects, ensuring quality, efficiency, and alignment with organisational objectives.
  • Provide comprehensive legal support across projects, including due diligence, partnership agreements (Vendor and PPP), commercial contracts, merger & acquisitions, and dispute resolution.
  • Provide general legal advice and day-to-day support on operational matters, including developing and delivering training sessions for employees on relevant legal topics.

The ideal candidate for Country Legal Counsel brings extensive experience from both private practice at leading law firms and senior roles within corporate environments. Your deep understanding of Philippine law, combined with exposure to cross-border transactions enables you to navigate complex regulatory landscapes confidently. You possess not only technical expertise but also strong interpersonal skills that allow you to build trust-based relationships across departments. Your approach is marked by meticulous attention to detail; you are diligent in your work yet open-minded enough to embrace new perspectives when solving problems. With a solid grounding in areas such as mergers & acquisitions or renewable project structuring, and an aptitude for policy development, you are well-equipped to advise on everything from contract negotiations through ethics compliance. Your commitment extends beyond transactional work: you take pride in mentoring colleagues through training sessions while championing best practices throughout the organisation.

  • Admission to the Philippine Bar with full legal qualification; experience in cross-border transactions or international work environments is considered a strong advantage.
  • At least 10 years of post-qualification experience, combining top-tier corporate law firm practice with substantial in-house exposure in complex, multinational organisations. Candidates from Energy, Construction, Oil and Gas, and Mining is highly preferred.
  • Demonstrated ability to conduct in-depth legal research and maintain current knowledge of laws and regulations impacting the renewable energy and broader corporate sectors.
  • Exceptional command of both written and spoken English and Filipino, ensuring effective communication with diverse stakeholders across all organisational levels.
  • Experience in delivering legal or compliance-related training sessions within large organisations, with the ability to present complex concepts clearly and effectively.
  • Extensive expertise in mergers & acquisitions, construction contracts (including EPC/EPCM), renewable energy projects, and other energy-related transactions is highly desirable.
  • Proven record of advising on ethics and compliance frameworks, including drafting and localising policies, implementing compliance programmes, and managing external stakeholders such as regulators or service providers.
  • Strong background in corporate governance, including company secretarial responsibilities and corporate housekeeping activities.
  • Strong interpersonal skills, with the ability to foster collaboration across multidisciplinary teams, promote knowledge sharing, and constructively challenge established norms.
  • Track record of diligence, reliability, and self-motivation, with meticulous attention to detail and the capacity to manage multiple priorities under pressure.
