SCOPE AND RESPONSIBILITIES

Legal Advisory

  • Provide timely legal advice, including legal protection and risk management advice, in all aspects of operations and business development that benefit from it, including, but not limited to, procurement, contract management, marketing, transactional documentation, doing-business research, acquisitions, and corporate policies and procedures (including those pertaining to corporate governance and housekeeping).
  • Provide legal support during meetings, negotiations, and other representations with external parties, including government agencies, the market and systems operator, and customers.

Document Preparation and Review

  • Review and/or draft contracts, agreements, and other documents to: (i) assist and support operations and business development;
  • (ii) ensure compliance with legal and regulatory requirements;
  • (iii) optimize the Company's benefit from the transaction, and
  • (iv) minimize or eliminate legal risks to the Company or any of its employees.
  • Provide assessments of transactions and insights given intimate knowledge of the Company's business to aid decision-making.

Litigation and Management

  • Review progress of outstanding litigation and recommend strategies to Management.
  • Manage external counsel, during and post-engagement.

Corporate Governance

  • Manage compliance with the provisions and requirements of laws and regulations on corporate governance and manage compliance with corporate mandates and commitments embodied in the CG Manual and in the constitutive documents.
  • Appear before the Securities and Exchange Commission (SEC) upon receipt of summons on matters relating to compliance with the CG Manual and applicable laws, rules, and issuances.
  • Evaluate reports of violation(s) of the provisions of the CG Manual and provide appropriate recommendations, subject to further review and approval by the Company's Compliance Officer, and the Board of Directors through the Audit and Governance Committee.

Corporate Housekeeping

  • Maintain updated corporate books and records, and databases, of the Company and its domestic subsidiaries and non-stock affiliates
  • Handle incorporation/creation of domestic subsidiaries/special purpose vehicles and other applications with the SEC, including for amendments to constitutive documents.
  • Coordinate with the relevant non-stock affiliate its accreditation as a donee institution with the Philippine Council for NGO Certification (PCNC) and the Bureau of Internal Revenue (BIR).
  • Track and review compliance of the Company and its domestic subsidiaries and non-stock affiliates with the corporate governance and relevant financial and corporate reporting 3 requirements of the SEC, PCNC, BIR, and other relevant government agencies.

QUALIFICATIONS & EXPERIENCES

  • Bachelor's degree in any 4-year course; post-graduate study in Law or Juris Doctor
  • At least 5 years experience in general law practice, corporate counseling, labor standards, and industrial relations practice, or tax counseling; at least 1 experience in energy, public utility, or similar industries
  • Familiarity with the functions and procedures of the Energy Regulatory Commission, Department of Energy, Department of Labor and Employment, National Labor Relations Commission, Securities and Exchange Commission, and other agencies with which representations have to be made.
