Overview
We are looking for a seasoned and results-driven Corporate Lawyer to provide comprehensive legal support to the organization. This position plays a crucial role in ensuring regulatory compliance, upholding strong corporate governance, managing contracts, and providing legal counsel across business operations, including HR matters. The ideal candidate has extensive experience in corporate and labor law, preferably within the real estate development sector, and a proven track record serving as a Corporate Secretary or Assistant Corporate Secretary.
Core Responsibilities
Legal Counsel & Compliance
- Deliver sound legal advice on a wide range of corporate, commercial, and employment law issues.
- Draft, review, and negotiate various legal documents and contracts to protect the company's business interests.
- Ensure company activities adhere to relevant laws, regulatory standards, and internal policies.
- Stay updated on legislative and regulatory developments that may affect the business and propose necessary actions.
Corporate Governance (Corporate Secretary Support)
- Support the Corporate Secretary in preparing, documenting, and facilitating Board and Shareholder meetings.
- Draft and maintain accurate records, minutes, and corporate resolutions.
- Oversee the upkeep of corporate charters, by-laws, and governance documentation.
- Coordinate with the SEC and other government agencies to ensure compliance with governance requirements.
Labor and HR Legal Advisory
- Advise the Human Resources team on labor law interpretation, employee relations, and disciplinary matters.
- Prepare and review employment-related contracts, company policies, and internal procedures.
- Represent the company in mediation, arbitration, or labor litigation as required.
- Conduct legal briefings or training sessions for HR and management on employment law compliance.
Risk Management & Business Support
- Identify potential legal and compliance risks and recommend preventive measures.
- Provide strategic legal support in negotiations, partnerships, and joint ventures.
- Manage and coordinate with external counsel for dispute resolution and litigation.
- Act as a trusted legal partner to the executive leadership and other key stakeholders.
Qualifications
- Licensed Philippine Attorney (Juris Doctor / Bachelor of Laws and member of the Integrated Bar of the Philippines).
- At least 10 years of solid experience in corporate practice, preferably in real estate, construction, or similar industries.
- Demonstrated experience as a Corporate Secretary or Assistant Corporate Secretary.
- Strong background in contract drafting, corporate governance, and employment law.
- Exceptional analytical thinking, negotiation, and problem-solving capabilities.
- Excellent communication and interpersonal skills, with the ability to partner effectively with cross-functional teams and external parties.
- Demonstrated professionalism, confidentiality, and ethical judgment.
Preferred Experience
- Prior exposure to in-house legal work in the real estate or construction sector.
- Familiarity with compliance requirements involving the SEC, PEZA, LGUs, and other government agencies.
- Background in commercial or labor litigation and arbitration.
