Job Summary

We are looking for an experienced Paralegal/Legal Officer to join our growing eCommerce group. This role will serve as the company's legal backbone-supporting day-to-day legal operations, government compliance, and documentation needs across all our brands.

Key Responsibilities:

1. Legal Documentation & Government Compliance

  • Prepare, draft, and review standard legal documents such as affidavits, contracts, authorizations, memorandum of agreement, NDAs, supplier/service agreements, and other business-related documents and legal correspondences.
  • Prepare Secretary's Certificates, Board Resolutions, Affidavits, and Legal Memoranda as needed by management.
  • Handle and respond to official letters, notices, and requests from FDA, IPOPHL, SEC, BIR, DOLE, and local government offices.
  • Handle and respond to BIR Letters of Authority (LOA) and coordinate required documents during audits.
  • Coordinate and assist with LGUs for business permits, licenses and compliance inspections.
  • Coordinate with FDDA, IPOPHL, SEC for regulatory submissions, renewals, and inquiries. Liaise with government offices and external legal counsels on company filings and legal matters.
  • Ensure all legal correspondence from government agencies is properly addressed, documented, and responded to on time.

2. Corporate Governance Records & Filing

  • Maintain organized, updated legal files and contract archives (digital and physical).
  • Monitor renewal and filing deadlines; maintain a legal compliance calendar.
  • Ensure corporate documents such as SE GIS, business permits, and IP certificates are complete, secure, and accessible.

3. Administrative & Coordination Tasks

  • Review/Drafting standard commercial agreements, NDAs, supplier/service contracts, and MOUs for accuracy and completeness.
  • Maintain a legal database for all contracts, correspondences, and filings (digital and physical).
  • Support compliance audits and assist other departments with documentation requirements.

4. Legal Research & Advisory Support

  • Conduct legal research on regulatory updates affecting eCommerce, importation, and product compliance.
  • Provide legal summaries and recommendations to management.
  • Coordinate with external counsels for specialized cases or litigation support.
  • Provide support in preparing position papers, reports, and legal summaries for internal use.

Qualifications:

  • Bachelor's degree in Legal Management, Political Science, or equivalent (Law units or LLB/JD background is a plus).
  • Minimum of 4-6 years of experience as a paralegal or legal officer handling corporate, regulatory, or eCommerce-related work.
  • Strong familiarity with FDA, IPOPHL, SEC, BIR, and LGU processes.
  • Experience working in a Law Office is highly preferred.
  • Excellent English writing and communication skills.
  • Highly organized, detail-oriented, and trustworthy with confidential information.
  • Preferably can start ASAP.
