Job Summary:

The Legal Manager will oversee the legal affairs of the organization in the Philippines, ensuring compliance with local laws, regulations, and corporate governance standards. This role will provide legal advice on business operations, contracts, labor matters, regulatory compliance, and dispute resolution. The Legal Manager serves as the primary point of contact for all legal matters and will work closely with internal stakeholders and external counsel when necessary.

Key Responsibilities:1. Regulatory and Legal Compliance

  • Ensure compliance with Philippine laws, including the Civil Code, Labor Code, Corporation Code, Data Privacy Act, Anti-Money Laundering Act, Consumer Act, and other relevant statutes.
  • Monitor changes in laws and regulations that may affect the business and recommend policy or procedural updates.
  • Liaise with government agencies such as SEC, DOLE, BIR, DTI, LGUs, and others as necessary.

  • Contract Management

  • Draft, review, and negotiate a wide range of contracts including vendor agreements, lease agreements, employment contracts, NDAs, and other commercial documents.

  • Ensure all contracts are compliant with Philippine legal requirements and minimize legal risk to the company.
  • Manage contract repository and ensure timely renewals and compliance tracking.

  • Corporate Governance

  • Ensure timely and accurate corporate filings with the Securities and Exchange Commission (SEC).

  • Prepare board resolutions, minutes of meetings, and other corporate documents.
  • Support in maintaining proper corporate records and compliance with corporate housekeeping requirements.

  • Labor and Employment Law

  • Provide legal guidance on employment matters such as hiring, termination, disciplinary actions, employee benefits, and compliance with the Labor Code of the Philippines.

  • Assist HR in handling employee grievances and labor disputes.
  • Represent the company in labor cases or coordinate with external counsel for representation.

  • Litigation and Dispute Resolution

  • Handle or supervise ongoing litigation, administrative, or regulatory cases.

  • Coordinate with external legal counsel for strategy and documentation.
  • Support internal investigations and legal audits when needed.

  • Risk Management

  • Identify legal and compliance risks in operational activities and recommend risk mitigation strategies.

  • Provide proactive legal guidance to prevent potential liabilities or regulatory violations.
  • Conduct legal training for key departments to promote legal awareness and compliance.

Qualifications:

  • Bachelor of Laws (LL.B.) or Juris Doctor (J.D.) from a recognized law school.
  • Member in good standing of the Integrated Bar of the Philippines (IBP).
  • At least 5–7 years of relevant legal experience, preferably with a mix of law firm and in-house legal department exposure.
  • Strong knowledge of Philippine laws and government processes.
  • Experience in contract negotiation, labor law, corporate law, and compliance.
  • Excellent analytical, communication, and negotiation skills.
  • High level of integrity, discretion, and professionalism.
