Job Summary:

Reporting to the Chief Executive Officer, this role is responsible for ensuring that compliance and regulatory programs are implemented and functioning within the organization. Under the guidance and supervision of the CEO, the Legal Counsel shall have the mandate to provide legal support, safeguard the company's interests, and ensure adherence to applicable laws, rules, and regulations while enabling the company to achieve its business objectives.

Job Responsibilities:

Contract Management

  • Draft, review, negotiate, and finalize a wide range of commercial contracts, agreements, and supporting documents.
  • Provide contract interpretation, advisory, and risk assessment for internal teams.
  • Represent the company in negotiations with partners, suppliers, clients, and external stakeholders.

Corporate & Regulatory Advisory

  • Provide legal advice on corporate governance, risk management, and compliance with applicable laws and regulations (including BSP, SEC, AMLA, and NPC requirements).
  • Monitor regulatory developments affecting the company's operations locally and internationally.
  • Support strategic transactions such as joint ventures, partnerships, and fundraising activities.

Operational & Cross-Functional Support

  • Partner with internal teams (business development, operations, compliance, finance, HR) to ensure day-to-day business activities align with legal requirements.
  • Verify vendors'' compliance with company policies and internal procedures.
  • Develop and implement policies, contract templates, and internal guidelines to streamline processes.

Research & Documentation

  • Conduct legal research and prepare memoranda or case studies on corporate, commercial, and regulatory issues.
  • Maintain organized records of contracts, legal opinions, and regulatory submissions.

Other Duties

  • Support the Chief Executive Officer in special projects, audits, or risk assessments.
  • Perform other tasks related to the functions as may be assigned.
  • Coordinate with external legal counsel on corporate legal matters of the Group.

Job Qualifications:

  • Graduate of Bachelor of Laws or Juris Doctor degree; member in good standing of the Integrated Bar of the Philippines.
  • At least 2-4 years of relevant experience in a legal corporate set-up, preferably in highly regulated industries.
  • Proven experience in liaising with and handling matters involving government agencies.
  • Familiarity with both local and international regulatory frameworks is a plus.
  • Exposure to multi-jurisdictional operations is a plus.
  • Strong background in contract review, drafting, negotiation, and management.
  • Excellent oral and written communication skills, including policy drafting, report writing, and legal correspondence.
  • Strong analytical and critical thinking abilities; adept at problem-solving, investigation, and risk assessment.
  • Demonstrated ability to understand business imperatives and contribute to the achievement of organizational objectives.
  • Excellent interpersonal skills with the ability to collaborate effectively across teams and stakeholders.
