Job Summary:

Aboitiz InfraCapital, Inc. is looking for a
Legal Manager
to assist the Corporate Secretary in the legal and administrative aspects of the board of directors, the corporation, and its various business units. This role ensures the company complies with all relevant laws and regulations and maintains good corporate governance.

Key Responsibilities

  • Board and Shareholder Meetings:
    Organizes and prepares for board and shareholder meetings, which includes drafting and circulating meeting agendas, notices, and board packs to all attendees in a timely manner.
  • Record Keeping:
    Accurately records and transcribes the minutes of all board and shareholder meetings, and maintains the official corporate records.
  • Legal Compliance:
    Ensures the company and its board of directors comply with all applicable laws, rules, and regulations, including corporate governance guidelines and stock exchange listing requirements.
  • Document Management:
    Manages and files legal and corporate documents such as resolutions, contracts, and regulatory filings with government agencies like the Securities and Exchange Commission (SEC).

Qualifications and Skills

  • Legal Background:
    A law degree with at least 1-2 years of relevant experience.
