In general, the purpose of the job is to provide legal services to the of Maplecrest Group Inc. and its subsidiaries, affiliates, and associated companies other than PCFI and its controlled and managed companies ("MGI Group"), as follows:
- To assist in the crafting and formulation of deal structure as well as the terms of reference and in the negotiation and finalization of the deal documentation with counterparties of MGI Group;
- To monitor compliance with the contractual or legal requirements of deals and other covered contracts or agreements of the MGI Group with counterparties;
- To craft and/or review the non-deal documentation covering borrowings, products and services as may be required by the MGI Group with counterparty banks, financial institutions, suppliers and customers;
- To provide legal research and advisory services to the MGI Group covering its business concerns including tax matters and the structuring of deals;
- To provide corporate secretary function to the MGI Group including its joint venture companies;
- To monitor compliance with regulatory business or corporate franchise requirements of the MGI Group;
- To provide contract management services;
- To monitor and manage claims or cases filed by or against any member of the MGI Group;
- To provide such other legal services as may be requested by the MGI Group and its shareholders including the incorporation of new companies and the amendment of the articles of incorporation or by-laws of members of the MGI Group.
The top Key Result Areas of the Job are as follows:
- Finalization and execution of of deal legal documentation and compliance with the post execution deal closing legal and contractual requirements including the regulatory requirements of the deal;
- Timely delivery of legal advisory and/or the non-deal documentation requirements of any member of the MGI Group;
- Timely crafting and submissions for approval of the minutes of the meetings of the board or shareholders meetings and delivery of secretary's certificate on resolutions as may be required by the MGI Group
- Timely submission of corporate regulatory reportorial requirements and compliance with the regulatory franchise requirements of the MGI Group; Efficient monitoring and management of covered contracts for management.
DUTIES AND RESPONSIBILITIES
The duties and responsibilities of the Job to attain each of the KRA, are as follows:
- To review, craft, and negotiate deal structure and documentation and oversee the finalization, execution, and the legal or contractual compliance including the compliance regulatory requirements of the deal for the completion or closing of the deal;
- To undertake legal research in support of legal advisory services and to provide verbal or written opinions covering the legal concerns of corporate or business development (including corporate products and services), structuring and expansion of the MGI Group, or covering the business ventures and investments of the MGI Group; to review, improve or prepare the relevant legal, corporate, or operating documentation requirements of the business; and further, to oversee legal compliance of the business;
- In coordination with the the Chairman of the Board of Directors and the President of the relevant corporate member of the MGI Group, to prepare the board or shareholders' meeting agenda, to send the notice of the meeting, to take down the minutes of the meeting, to write the minutes for approval of the Board or the Shareholders and if required, to issue the Corporate Secretary's certification of Board/Shareholders resolution;
- To monitor compliance with and submission of the regulatory reportorial and the regulatory franchise requirements of each of the corporate members of the MGI Group and to coordinate with the relevant business unit or corporate member to insure compliance;
- To prepare or review covered business contracts which are necessary in the ordinary course of the business operation and to provide or affix legal clearance/chop thereon for its execution by the authorized signatories of the relevant corporate member of the MGI Group and to monitor its termination or renewal.
JOB QUALIFICATIONS:
A. Bachelor of Laws / Juris Doctor
B. License/Certification (only if needed to perform the job)- Member of the Philippine Bar
C. Functional/Technical Competencies- Excellent written and verbal communication skills
Knowledgeable in joint ventures, mergers, and acquisitions
D. Years of Experience- At least 7 years of relevant experience
E. Behavioral Competencies- Result-oriented, Attention to detail and Works well under pressure
