The Junior Legal Officer's roleinvolves comprehensive legal management, from drafting, reviewing, and negotiating a wide range of commercial contracts and agreements to ensuring corporate governance and compliance. The position acts as a trusted legal advisor, providing proactive counsel to various company units to help support business objectives while mitigating risk. This includes conducting in-depth research and analysis on relevant laws and staying current with legal and regulatory changes.
TASK/ RESPONSIBILITIES:
- Assist in the management of a wide range of corporate legal matters. Ensure full compliance with relevant laws and regulations. Assist in the drafting of key corporate documents and corporate filings.
- Review, draft, and negotiate a variety of commercial agreements. Achieve a timely turnaround on all contract reviews and a high degree of accuracy on all drafted or reviewed contracts.
- Conduct in-depth legal research and providing clear, concise analysis on a wide array of topics, including but not limited to, corporate law, tax law, and labor and employment. Act as a trusted advisor to internal business units, providing proactive and practical legal counsel to support business objectives while mitigating risk.
- Assist in legal negotiations with external parties to secure favorable terms and protect the company's interests. Assist in pre-litigation and litigation matters, including coordinating with outside counsel.
- Provide legal support for investment activities, including assisting with due diligence, drafting and reviewing investment agreements, and managing related legal documentation.
- Assist in a wide range of regulatory compliance matters by actively monitoring changes in local and national laws. Prepare and submit all required legal filings, applications, permits, and licenses to relevant governmental agencies and regulatory bodies, ensuring accuracy and timely submission to avoid risk and/or penalties.
- Effectively communicate complex legal concepts to internal company units, senior management, and external stakeholders. Build and maintain strong, collaborative relationships with governmental agencies, regulators, and other legal counsel to facilitate efficient legal processes and support company objectives.
QUALIFICATIONS:
- Juris Doctor (J.D.) degree from an accredited school.
- Duly licensed to practice law in the Philippines and a member in good standing of the Integrated Bar of the Philippines (IBP).
- Prior experience in legal research, paralegal work, or compliance-focused organization is highly desirable.
- At least one to two (1-2) years of relevant experience.
- Has the ability to meticulously draft, review, and negotiate a variety of complex legal documents and commercial agreements. The candidate should be able to identify potential risks and create legally sound and commercially viable documents.
- Exceptional skills in conducting in-depth legal research on diverse legal topics. The candidate must be able to synthesize complex information and present findings in a clear, concise, and actionable manner to assist in strategic decision-making.
- Demonstrates a strong written and verbal and communication skills.
- Has the ability to think critically and strategically to provide proactive, practical, and risk-mitigating legal advice.
