Job Summary

The Junior In-house Counsel provides legal support to the company by offering expert advice on litigation, contract review, regulatory compliance, and corporate transactions. This role ensures that all business activities adhere to applicable laws and regulations while protecting the company's interests. The position also involves overseeing legal documentation, guiding internal teams on legal matters, and conducting research on partnerships, mergers, and acquisitions.

Job Responsibilities:

  • Provide sound legal advice on litigation strategies, contract reviews, compliance, and other corporate transactions involving the company and its affiliates.
  • Review legal documents and paperwork to ensure the company's interests are protected and aligned with corporate compliance laws.
  • Supervise and guide support staff in handling legal matters.
  • Review and update company policies related to legal affairs on a periodic basis.
  • Advise the management team and stakeholders on appropriate legal courses of action.
  • Conduct in-depth legal research related to partnerships, mergers, acquisitions, and other business transactions.

Skills & Knowledge:

  • Solid understanding of contract law principles, including indemnities, warranties, liability, and termination clauses.
  • Ability to draft, review, and interpret a wide range of commercial agreements
  • Familiarity with corporate governance, regulatory compliance, and risk assessment in commercial contexts.
  • Excellent legal research, analytical, and problem-solving skills.
  • High attention to detail and accuracy.
  • Strong communication and negotiation skills, with the ability to explain legal concepts to non-legal stakeholders.

Qualifications:

  • Bachelor of Laws (LLB) or Juris Doctor (J.D.) from an accredited institution.
  • Member of the Philippine Bar in good standing.
  • Excellent proficiency in written and spoken English.
  • Strong analytical, research, and negotiation skills.
  • Ability to collaborate effectively within a team.
  • Solid understanding of corporate law, labor law, and remedial law.
