Senior Corporate Lawyer

We are seeking a highly skilled and experienced legal professional to join our team as an In-House Legal Counsel. As a key member of our organization, you will be responsible for providing legal support services to our entire network of companies.

1. You will attend to corporate legal matters and special projects, including drafting or reviewing of Secretary's Certificate, Notice of Meetings, Trustee's Certificate, Board Resolution.
2. Filing of SEC reportorial requirements, such as General Information Sheet, Certificate of Existing Projects, assistance in filing the Annual Financial Statements and other documents as necessary.
3. Maintaining and updating Corporate Records, including Articles of Incorporation, By-Laws, SEC Certificate of Incorporation, Business Permit, BIR Registration, Corporate Seal, SEC Notices, BIR Notices, PCNC Accreditation, etc.
4. Contract Management, including Service Contracts, Real Estate Contracts, Construction Contracts, Financial Contracts, Confidentiality and Non-disclosure Agreements, Memorandum of Agreements, Deeds of Sales, Deeds of Donations, Labor and Employment Contracts, etc.
5. Process and document Legal Requests and Document Requests based on LRF Process; monitor the flow of the contract review and approval process.
6. Perform review or drafting of all contracts, agreements, memoranda, deeds and forms.
7. Negotiations and communications with counterparties in contracts and agreements.
8. Securing approval of approving authorities for the processing and execution of contracts.
9. Custody and recording of all contracts.
10. Updating of Contract Templates.
11. Compliance.
12. Assist the Legal Manager in exercising oversight over compliance and regulatory matters.
13. Provide legal support to Compliance Team to help ensure regulatory and legal compliance with all government agency requirements particularly SEC, BIR, LGU, DOLE, PCEC and National Privacy Commission.
14. Keep organization updated with all new legal and regulatory issuances relevant to the organization's operations.
15. Help ensure transactions and activities of departments, satellites and ministries comply with regulatory and legal requirements.
16. Help enforce CCF's Data Privacy Policies.
17. Tax.
18. Provide legal advice on tax matters.
19. Collaborate with Finance Department on tax issues affecting the organization.
20. Oversee tax cases and advice management on appropriate courses of action.
21. Litigation and Special Projects.
22. Execute or implement any special project as may be assigned by the Mancom, the Executive Director or Legal Manager.
23. Draft and prepare legal submissions, status report.
24. Organize and keep record of all litigation files.
25. Represent CCF in hearings, meetings or appearances before the court or other government offices.
26. Client management.
27. Provide legal support as may be required by other departments, ministries and satellites.
28. Provide legal opinion or advice whenever useful and beneficial to management, other departments, ministries and satellites.
29. Conduct regular legal audit of the contracts prepared by requestors and their compliance with internal processes.

2. Contract databases and management

Maintain and regularly update Contract Database for Lease Contracts, LRFs and Service Contracts. Ensure relevant stakeholder is timely informed of important milestones and provisions of the contract.

Manage the Contract Submission Form Database and follow up with Satellites on the completion of the required documents

Participate in all meetings and trainings of the Legal Department.

Participate in all meetings, activities, trainings and retreats held by the organization.
