Kingfisher Management Limited seeks an experienced Senior Compliance Specialist to join our team in the Cayman Islands.

**Key Responsibilities:

  • Corporate Records & Documentation Management:
    • Maintain accurate and up-to-date corporate records, including company minutes, resolutions, policies, and legal documents.
    • Collaborate with colleagues to prepare regulatory filings and reports.
    • Manage due diligence processes for authorized signatories to ensure compliance with relevant laws and regulations.
    • Establish and maintain an efficient system for organizing, storing, and retrieving internal corporate documents.
  • Compliance & Risk Management:
    • Develop and submit critical regulatory reports, including those related to Economic Substance, Beneficial Ownership, CRS, and FATCA.
    • Conduct thorough client file reviews and implement remediation actions to ensure ongoing compliance.
    • Identify, assess, and mitigate risks associated with the Corporate Governance Department to maintain alignment with best practices and regulatory requirements.
    • Stay informed about regulatory developments and adapt our processes accordingly to minimize potential impacts on our operations.
    • Design and implement effective compliance-related policies, incorporating results from internal reviews and gap analyses.
    • Oversee compliance monitoring programs to ensure timely and comprehensive implementation across the organization.
    • Collaborate with senior management to address regulatory challenges and develop strategic responses.
    • Drive the identification of emerging compliance trends and evaluate opportunities for enhanced engagement.
  • Internal Governance Administration:
    • Maintain the company's corporate governance framework, ensuring adherence to best practices and regulatory requirements.
    • Process updates to director, officer, shareholder, and beneficial owner information, informing relevant authorities and maintaining accurate records.
    • Compile and distribute meeting materials for Cayman companies' board meetings, governance board/committee meetings as needed.
    • Track and monitor regulatory requirements affecting the company's CIMA licenses, ensuring prompt action and resolution.
    • Submit annual accounts for Cayman companies and verify compliance with local regulatory filing requirements.
    • Preserve and update corporate records, including bylaws, governance policies, and committee charters.
    • Coordinate the submission of regulatory filings.
    • Support the development of reports, presentations, and documentation related to governance and compliance for executive management.
    • Engage in ongoing governance projects and compliance initiatives, contributing to policy development and implementation.
    • Verify adherence to Cayman anti-money laundering and terrorist financing regulations, focusing on suspicious activity reporting, client due diligence, and record keeping.
