The Legal will report directly to the General Counsel and Data Protection Officer. He will provide legal assistance to company's functional units/departments, including, but not limited to, reviewing basic contracts such as non-disclosure agreements, and other general corporate documents;
• Support in the drafting and reviewing of legal and guarantee-related documents

Responsibilities

  • Support in the execution of guarantee-related documents, including the confirmation of condition precedents prior to closing of transactions;
  • Assist and provide support in the review and analysis of institutional legal and regulatory issues, including the interpretation of CGIF's privileges, immunities and exemptions;
  • Prepare legal due diligence questionnaires and review/follow up with responses;
  • Assist with transaction closing and post-closing matters including internal e-filings requirements;
  • Assist with updating template documents and maintaining the Legal Department's e-filing system;
  • Support the Board Secretariat in drafting and reviewing of minutes, agenda, notices, board papers, indemnity letters, new director training materials;
  • Conduct legal analysis and research on various matters; and
    • Perform other relevant duties that may be assigned based from time to time.
  • Work with other in-house counsels and outside counsels, as required
  • Negotiate and draft complex transactional agreements
  • Taking preemptive measures to avoid legal risks and conflicts

Qualifications

  • J.D. qualified to practice law
  • 3+ years' legal work experience
  • Admission to Philippine Bar

  • Excellent communication and negotiation skills
  • Ability to work independently and as part of a team
