JOB OVERVIEW:
The Corporate and Litigation Senior Associate provides comprehensive paralegal and legal support to the Legal, Regulatory, Compliance, and Industry Relations Department. The role encompasses corporate transactions, corporate housekeeping, litigation and labor case support, corporate contract and document management, and coordination with regulators, government agencies, and external counsel. The position plays a crucial role in drafting, reviewing, and monitoring corporate documents, as well as providing support in case management, pleadings, and legal research for corporate, labor, and litigation matters.

- External Counsels; Corporate Secretaries for Coal and Diesel/RE Groups
- All government-related agencies
DUTIES AND RESPONSIBILITIES:
Corporate Transactions
- Review and draft board-related documents including memos to the Board, Board Resolutions, and Secretary's Certificates.
- Monitor corporate housekeeping requirements and board approvals; ensure timely updating and safekeeping of corporate records.
- Coordinate with corporate secretaries for execution and retrieval of corporate documents.
- Review and process invoices, manage billings, reimbursements, and liquidations of all legal-related transactions, and support budget tracking for legal services.
- Establish and maintain the Legal and Regulatory Compliance Portal, ensuring regular updating of references and documents.
Litigation and Labor Support
- Assist in the preparation and filing of pleadings, affidavits, case summaries, and other litigation-related documents.
- Conduct legal research on jurisprudence, statutes, rules of court, and sector-specific regulations(e.g., energy law, labor law, WESM compliance).
- Organize and maintain case files and litigation databases, including the Case Management System.
- Track deadlines, hearings, and submission schedules to ensure compliance with judicial and regulatory requirements.
- Coordinate with external counsel, government agencies, administrative bodies, and courts on ongoing cases.
- Prepare reports and case summaries for management, highlighting risks, timelines, and next steps.
- General and Administrative Support
- Schedule and document internal and external meetings, including transcription of critical agreements.
- Provide administrative and paralegal support to the LRCIR Department to maintain office effectiveness.
- Assist in processing and liquidating departmental expenses, reimbursements, and related financial transactions in coordination with Finance.
- Perform any and all other tasks, duties, and responsibilities as may be assigned by the LRCIR Head, Legal Services Manager, or other authorized officers of the Company.
QUALIFICATION GUIDE:
EDUCATION : Bachelor's degree in Legal Management, Political Science, or any related field; completion of a paralegal certification is an advantage.
EXPERIENCE : At least two (2) years of experience in a paralegal or legal assistant capacity, with preferred exposure to corporate housekeeping, assistance to the Board of Directors, labor and litigation matters, and regulatory or energy sector practice.
PREFERRED : Familiarity with Philippine energy laws, electricity markets, WESM, ERC rules, and power industry regulations.
SKILLS:
- Excellent research, drafting, and document management skills.
- Strong organizational, planning, and time-management abilities.
- Demonstrated ability to handle highly sensitive and confidential information.
- Effective written and oral communication skills; ability to engage with regulators, courts, and external counsel.
- Proficiency in Microsoft Office, legal research databases, and case management systems.
- Ability to work independently while coordinating across multiple teams and projects.
