Role Overview

We're hiring an Assistant LOI Team Lead to support the creation, review, and execution of Letters of Intent (LOIs) for buy-side acquisitions. You'll work closely with the LOI Team Lead and the deal team to ensure offers are accurate, commercially sound, and aligned with financial structures. This role sits at the critical intersection of deal strategy and seller communication, helping move opportunities from negotiations into signed agreements.

Key Responsibilities
1. LOI Drafting & Review
  • Assist in drafting clean, enforceable LOIs aligned with approved deal models
  • Review partner-submitted offers for accuracy, clarity, and compliance with agreed terms
  • Redline and edit LOIs to reflect commercially viable terms
  • Support the creation of multiple offer versions per target based on strategy
2. Offer Oversight & Quality Control
  • Ensure LOIs are consistent with financial structures validated by the Deal Structuring Analyst
  • Review LOI video recordings and ensure messaging reflects approved terms
  • Provide pre-approval checks before LOIs are sent to sellers
  • Maintain LOI templates and best practices for accuracy and efficiency
3. Coordination & Execution Support
  • Collaborate with Deal Structuring Analysts, Deal Team Leads, and leadership to ensure offers are fundable and realistic
  • Monitor deal flow and ensure timely delivery of LOIs in high-volume pipelines
  • Identify and escalate red flags in deal terms or seller feedback
  • Provide coverage for the LOI Team Lead when needed
Ideal Experience
  • 1–3 years in M&A, private equity, corporate development, or transaction support (LOI, deal terms, or structuring focus a plus)
  • Strong understanding of acquisition terms, deal structures, and basic financial logic
  • Familiarity with SBA lending, seller financing, and DSCR mechanics (preferred, but not required)
  • Backgrounds in investment banking, Big 4, legal/contract review, or advisory welcome
