
Senior Legal Assistant

- Assists the Corporate Secretary in maintaining the records of the Corporation such as but not limited to the Stock and Transfer Books, Certificates of Stock, General Information Sheet, Articles of Incorporation, and By-laws;
- Maintains the calendar for the Board of Directors and various Board-level Committees of the Corporation;
- Promptly notifies the Stockholders on record, the Board of Directors, Board-level Committees and the Operations Committee of any scheduled meeting, whether regular or special, and/or requests for approval or information;
- Assists the Corporate Secretary in the preparation of the agenda, materials, minutes of meetings, presentation decks and/or other necessary documents for meetings;
- Ensures timely application and/or submission of required documents, permits, licenses, sheets, articles, declarations, papers, commitments, reports and or any amendments and/or renewals with the Securities and Exchange Commission, LGUs and/or with other government/regulatory agencies;
- Coordinates with government agencies consistently and regularly monitors issuances of the SEC and other government agencies relative to the business of the Corporation;
- Responsible in properly notifying the appropriate heads/units/departments/divisions of the Corporation on deadlines and submissions with government agencies and external stakeholders;
- Drafts and/or reviews letters, correspondences, contracts, agreements of the Corporation with its partners;
- Maintains and manages the database, records, files and other documents of the Corporate Secretariat and all other Contracts/Agreements entered into by the Corporation;
- Maintains and regularly updates the database of customer complaints, endorses to appropriate employee and/or team all complaints and monitors timely submission of Comment or Answer;
- Assists in the drafting, preparation and/or filing of Comment or Answer to customer complaints;
- Monitors regularly all corporate e-mail accounts under his/her control or possession.
- Prepares, files, and monitors applications for trademark registration, renewals, oppositions, and other related filings before the Intellectual Property Office of the Philippines (IPOPHL).
- Provides support in gathering evidence, preparing pleadings, affidavits, and other necessary documents for litigation matters.
- Perform other duties and functions that may be assigned from time to time, by the Board of Directors, Management, Head of Legal Services & Compliance Monitoring Department, and the Head of Legal Services Department.
Education
Bachelor's degree in Legal Management, Political Science, Business Administration, Accountancy, or a related field.
- A Juris Doctor graduate.
Paralegal certification or equivalent training is an advantage.
Experience
At least 5 years of relevant work experience as a Legal Assistant, Paralegal, or in a similar corporate legal/compliance role.
- Hands-on experience in corporate housekeeping (GIS filing, SEC submissions, stock transfers, corporate records).
- Exposure to regulatory compliance with the SEC, BIR, DTI, IPOPHL, and other Philippine government agencies.
- Experience in contract review, litigation support, and customer complaint handling.
Background in trademark filings and intellectual property matters is highly desirable.
Knowledge
Strong understanding of Philippine corporate law and regulatory requirements (SEC, BSP, NPC, IPOPHL, DOLE, BIR).
- Familiarity with litigation procedures and basic pleadings under the Rules of Court.
- Working knowledge of intellectual property laws and trademark registration processes.
Proficiency in corporate governance practices and documentation.
Skills
Excellent legal research, drafting, and documentation skills.
- Strong organizational and time-management abilities, with attention to detail in monitoring regulatory deadlines.
- Effective communication and coordination skills (oral and written, in English and Filipino).
- High level of confidentiality, integrity, and professionalism.
- Proficient in MS Office/Google Workspace and familiar with legal databases and electronic filing systems.
