We are seeking a Associate Legal Counsel to join our team at GJH SERCONS INC. in BGC, Taguig. This is a full-time position that will be responsible for handling any legal matters and helping to ensure the smooth operation of the Legal department.

What you'll be doing:

Initial review of corporate legal documents such as affidavits, memoranda, etc.

Initial review of Board Resolutions, Corporate Secretary's Certificates, and Minutes of the Board Meetings.

Drafting of contracts with suppliers, contractors, and other external entities.

Initial review of external contracts with suppliers, contractors, etc.

Initial Review of incorporation of new companies, amendments of articles of incorporations and by-laws, updating of general information sheets.

Legal research

Represent the company and/or its officers in various government agencies.

Represent the company and appear as counsel in litigation.

Prepare pleadings, affidavits, motions, and other legal documents required by the court, government agencies, and financial institutions.

Monitor and ensure that all permits and licenses are secured and renewed on time.

Assign, organize, and schedule tasks of paralegals and legal assistants

Notarization of legal documents

What we're looking for:

Preferably honor student or Dean's Lister

Fresh bar passer, acceptable

At least 1 year experience as associate legal counsel is preferred but not required.

(In a law firm or in a corporate setting)

Excellent written English skills

Very good MS Word and PowerPoint

Very good in legal research

Very good in in drafting pleadings & contracts

Very good in in reviewing & analyzing contracts
