Job Summary:

The Junior Counsel will support the Company and its legal team by reviewing, drafting, and negotiating contracts, and managing pre-litigation and litigation matters. The role works closely with internal teams and external counsel to protect the Company's interests and ensure balanced and commercially sound outcomes.

Key Responsibilities:

  1. Contract Preparation and Review

  2. Review and analyze contracts to safeguard the Company's interests and ensure balanced contractual terms.

  3. Draft, refine, and maintain template agreements, riders, and standard addenda.
  4. Provide written recommendations highlighting key risks, commercial impacts, and mitigation options.
  5. Closely work with internal stakeholders on their non-negotiables, risk appetite, and negotiable positions.
  6. Upon request, participate in the negotiation of contract terms with counterparties.

  7. Provide clear recommendations and legal analysis of risk exposures.

  8. Pre-Litigation Advisory:

  9. Evaluate both factual and legal issues raised in disputes and identify strengths, weaknesses, and strategic considerations.

  10. Propose practical measures to reinforce the Company's claims or defenses.
  11. Gather facts, documentation, and internal records necessary to substantiate positions.

  12. Prepare internal briefing notes, assessments, and escalation papers for management review.

  13. Litigation Management:

  14. Collaborate with external counsel on strategy, pleadings, evidence requirements, and hearings.

  15. Manage performance of external counsel (e.g. track case developments, timelines, pleadings, deliverables, and financial exposure).
  16. Coordinate with internal teams to secure documents, witnesses, affidavits, and certifications.

  17. Maintain organized case files and litigation registers.

  18. Research and Analysis

  19. Conduct legal research and prepare internal legal memoranda, summaries, and reports.

Qualifications:

  • Law Graduate and Philippine Bar passer

  • Minimum of two (2) years of relevant experience gained in a law firm or a reputable in-house legal team

  • Strong communication skills

  • Excellent research, writing, and analytical skills

  • Proficient in Microsoft Office Suite and legal research tools
