Job Summary
Responsible for supporting the execution of mergers and acquisitions (M&A), capital raising, and other corporate finance transactions by conducting financial due diligence, valuation, and in-depth financial analyses. The Transaction Advisory Associate plays a key role in assessing target companies performance, identifying risks and opportunities, and preparing detailed financial models and reports to assist clients in making informed strategic and investment decisions. This role works closely with senior team members, clients, and external stakeholders to ensure the successful delivery of high-quality transaction advisory services that drive business growth and value creation.

Job Responsibilities
Financial Due Diligence

  • Perform buy-side and sell-side financial due diligence for mergers, acquisitions, divestitures, and restructuring engagements.
  • Analyze target companies historical financial performance, working capital trends, and key value drivers.
  • Identify potential deal risks, accounting issues, and opportunities that may impact valuation and negotiation.
  • Prepare due diligence reports and executive summaries highlighting key findings and recommendations.

Valuation and Financial Modelling

  • Develop and maintain complex financial models to assess business performance and deal scenarios.
  • Conduct business valuations using multiple approaches such as Discounted Cash Flow (DCF), Comparable Companies, and Precedent Transactions analysis.
  • Assist in preparing financial projections and sensitivity analyses for M&A or capital raising projects.
  • Ensure accuracy, consistency, and integrity of all financial analyses and data outputs.

Transaction Support and Advisory

  • Support the deal team in structuring transactions and identifying key financial considerations.
  • Participate in the preparation of pitch books, investment memoranda, and client presentations.
  • Ensure timely and accurate reporting to regulatory authorities.
  • Contribute to the development of strategic insights that enhance client decision-making.

Research and Analysis

  • Conduct market and industry research to support financial due diligence and valuation analyses.
  • Monitor economic and business trends that may impact clients business valuations and deal strategies.
  • Provide benchmarking and peer analysis to assess competitiveness and value positioning.

Process and Team Collaboration

  • Work collaboratively with cross-functional teams within the firm to ensure timely and quality deliverables.
  • Maintain documentation and workpapers consistent with firm standards and professional practices.
  • Participate in knowledge-sharing initiatives, process improvements, and internal training sessions.
  • Support senior associates and managers in business development and proposal preparation as needed.

  • Perform other related tasks that may be assigned to support departmental and organizational goals.

Competency Requirements
Education

  • Bachelors Degree in Accountancy, Finance, Economics, Business Administration, or Management; CPA (Certified Public Accountant) preferred; progress toward CPA certification is highly regarded

Relevant Experience

  • Minimum of 1 to 3 years of experience in following areas: Transaction Advisory Services (TAS), Financial Due Diligence (Buy-side or Sell-side), Corporate Finance or M&A Advisory, Valuation or Financial Modelling

Certificates, Licenses

  • CPA (Certified Public Accountant) preferred; progress toward CPA certification is highly regarded
